INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement ("Agreement") is made effective as of [Effective Date] by and between Maplebear Inc., doing business as Instacart, and its subsidiaries, representatives, affiliates, officers, and directors (collectively, "Instacart” “we”, “us,” or “our”), and [Legal First & Last name / Name of Corporate Entity], an individual ("Contractor," “you,” or “your”), and Maplebear Inc., doing business as Instacart, and its subsidiaries, representatives, affiliates, officers, and directors (collectively, “Instacart” “we”, “us,” or “our”) if you perform the Services (defined below) anywhere within the United States outside the state of Alaska, or Maplebear Alaska LLC, doing business as Instacart, and its subsidiaries, representatives, affiliates, officers, and directors (collectively, “Instacart” “we”, “us,” or “our”) if you perform the Services within the state of Alaska (collectively referred to as the “Parties”).

IMPORTANT: YOU ACKNOWLEDGE AT THE OUTSET THAT, FOR THE PURPOSES OF CARRYING OUT THIS AGREEMENT, YOU AGREE TO ALL TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. PAY ATTENTION TO SECTION 9, WHICH SETS FORTH THAT WITH CERTAIN EXCEPTIONS YOU AND INSTACART MUTUALLY AGREE TO ARBITRATE ANY LEGAL DISPUTES OR CLAIMS THAT MIGHT ARISE BETWEEN YOU. SECTION 9 REQUIRES THAT, EXCEPT AS PROHIBITED BY LAW OR UNLESS YOU OPT-OUT OF THE ARBITRATION PROVISION (AS SET FORTH IN SECTION 9.10), THE PARTIES WILL RESOLVE COVERED DISPUTES OR CLAIMS ON AN INDIVIDUAL BASIS IN AN ARBITRATION PROCEEDING.

1. THE INSTACART PLATFORM

1.1 Instacart is a technology company that provides a communications and logistics platform that enables consumers who seek personal shopping and/or delivery services from retailers in their area to be matched with third party providers interested in providing those services (the “Instacart Platform”).

1.2 You are an independent provider of personal shopping and/or delivery services. As the Instacart platform is not available to children (persons under the age of 18), you represent and warrant that you, in your capacity as an individual and/or sole proprietor or in your capacity as an individual owner of a corporate entity, are at least 18 years old and that you have the right, authority, and capacity to enter into and abide by the terms of this Agreement. You are in lawful possession of all equipment, insurance, and licenses necessary to perform the shopping and/or delivery services contemplated by this Agreement in accordance with all applicable laws.  You desire to enter into this Agreement for the purpose of using the Instacart Platform to obtain business opportunities to perform personal shopping and delivery services on behalf of consumers.

1.3 Instacart is constantly modifying and improving the Instacart Platform. Instacart may introduce new features, change existing features, or remove features from the Instacart Platform at any time and without notice, subject to the terms of this Agreement. If you provide Instacart with any feedback on or comments regarding the Instacart Platform or your provision of Services under this Agreement, you grant Instacart the right to use such feedback or comments for any purpose without restriction or payment to you.

1.4 The Parties agree that they will act in accordance with the terms of this Agreement.

2. SERVICES OF THE CONTRACTOR

2.1 From time to time, Instacart may notify you of an opportunity to perform personal shopping and/or delivery services through the Instacart Platform on behalf of consumers (a “Delivery Opportunity”). If you accept a Delivery Opportunity, you agree to use the Instacart Platform to retrieve the requested retail items from the store selected by the customer and deliver them in a safe and timely manner in accordance with the delivery window requested by the customer (the “Services”).

2.2 You acknowledge that you, as a prerequisite to performing the Services, in your capacity as an individual and/or sole proprietor or in your capacity as an individual owner of a corporate entity, will need to consent to background checks, and continued access to the Instacart Platform is contingent upon passing the background checks and otherwise complying with the terms of this Agreement (and any documents incorporated by reference). After receiving access to the Instacart Platform, Instacart may conduct additional background checks on you, in compliance with applicable law, through its background check provider. Instacart will issue you a username and password so that you can access the Instacart Platform to provide the Services. You agree that only you will use the username and password, as you are the sole authorized user. Nothing in this Agreement should be construed as precluding you from engaging personnel to assist in the provision of Services, as set forth in further detail in Section 4 below.

2.3 You acknowledge that Instacart does not impose any minimum or maximum amount of Services that you are required to provide. Moreover, you are under no obligation to accept any particular Delivery Opportunity that is offered to you. You are free to accept or reject any Delivery Opportunity, in your business judgment and discretion. If, however, you do accept a Delivery Opportunity, then you are contractually obligated to complete it. You further agree to accept liability for any and all damages resulting from your or your Personnel’s failure to complete a Delivery Opportunity in accordance with the terms set forth in this Agreement.

2.4 You agree that there is no minimum or maximum number of Delivery Opportunities that Instacart will make available to you. You further agree that Instacart does not dictate the time of the performance of the Services.

2.5 If Instacart desires to engage you for any purposes other than or in addition to the Services, and if you agree to such an additional engagement, you and Instacart shall agree upon the specific terms and conditions. However, such terms and conditions shall govern that additional engagement only and shall not modify the terms and conditions governing the Services as set forth in this Agreement. Any disputes or claims arising out of or related to the provision of such additional engagement shall be governed by the Arbitration Provision (including the opt-out option) in Section 9 of this Agreement.

2.6 The Parties acknowledge that the term of this Agreement does not reflect an uninterrupted service arrangement. Each Delivery Opportunity you accept shall be treated as a separate contractual engagement, with no continuing obligation to provide Services. No Services will be performed without the Parties’ mutual agreement.

3. RATES AND PAYMENT

3.1 Instacart agrees to pay you for the Services within 30 days of performance. Instacart reserves the right to change the rates for payment components at any time, and Instacart will provide you with notice of the changes in advance of your accepting a Delivery Opportunity through Instacart’s Shopper App. Instacart does not pay earnings by salary or by an hourly rate.

3.2 For a Delivery Opportunity that involves both personal shopping and delivery, you will be provided a payment for each delivery, which takes into account factors such as weight of items, number and types of items, estimated distance and time, and any applicable incentive. Payment components are shown in the Shopper App, and you can review the applicable estimated earnings prior to accepting or rejecting a Delivery Opportunity.

3.3 For a Delivery Opportunity that involves delivery only, you will be provided a payment for each delivery. Payment components are shown in the Shopper App, and you can review the applicable estimated earnings prior to accepting or rejecting a Delivery Opportunity.

3.4 You understand and agree that if you are dissatisfied with the payment for a particular Delivery Opportunity, you may negotiate for an increase of that payment with Instacart by contacting Community Support. Instacart will consider any such request in good faith, but shall not be obligated to remit payment other than as set forth in the Shopper App.

3.5 As a condition of receiving payment, you agree to provide Instacart with your taxpayer identification number and the requisite authorization for required background checks. You shall be responsible for all costs and expenses incurred or necessary in the performance of the Services, including but not limited to phone, parking, vehicle, insurance, and travel expenses.

3.6 You may request that Instacart make earnings payable in your name or in your capacity as a sole proprietorship, trade, or other corporate or business entity.

4. YOUR PERSONNEL

4.1 Subject to compliance with this Agreement, you will have sole discretion over whether to engage subcontractors or use employees, assistants or helpers (collectively “Personnel”) to assist in the provision of Services, and you will be solely responsible for the direction and control of your Personnel. Notwithstanding the foregoing, you remain liable for the performance of the Services by your Personnel, and the engagement of Personnel will not release you from any of your obligations under this Agreement.

4.2 You will require all Personnel performing the Services hereunder to comply with all eligibility requirements set forth in Sections 1 and 2 above. You acknowledge that, as a prerequisite to performing the Services, your Personnel will need to consent to background checks, and continued access to the Instacart Platform is contingent upon passing the background checks and otherwise complying with the terms of this Agreement (and any documents incorporated by reference). Before allowing any Personnel to perform the Services, you agree to make your records demonstrating compliance with the foregoing requirements available to Instacart for verification. Instacart’s right to verification herein does not in any way mitigate or reduce your obligation to ensure your Personnel’s compliance with the requirements of this Agreement.

4.3 Any Personnel you engage to assist in the provision of Services will need to access the Instacart Platform using their own separate username and password to provide the Services.

4.4 Payment for Delivery Opportunities accepted by your Personnel will be payable to your Personnel. Payment for Delivery Opportunities accepted by you that are performed by your Personnel will be payable to you. You assume full responsibility, and Instacart will not be responsible, for the payment of any compensation, benefits and/or expenses to your Personnel (which will be determined in your sole discretion) or for any payment from your Personnel to you, and for any required state and federal income tax withholdings, unemployment insurance, and social security taxes related to subcontractors. Unless required by law, Instacart will not have any withholding obligations with respect to compensation of your Personnel.

4.5 As a condition of performing the Services hereunder, any Personnel performing the Services must execute a separate acknowledgment representing, warranting and agreeing to comply with this Agreement. You agree to provide a copy of such acknowledgement and/or contract between you and your Personnel to Instacart for verification.

4.6 As further set forth in Section 7 below, you agree to indemnify, defend, and hold harmless Instacart, and Instacart’s officers, directors, shareholders, employees and agents, and its or their successors and assigns, from and against any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, and reasonable legal fees and costs, that any of your Personnel may assert against Instacart that result from, or are related to the performance of the Services, by you or your Personnel, including claims for unpaid wages, benefits and/or expenses, whether brought under federal, state or local law.

5. TERMINATION OF AGREEMENT

5.1 You may terminate this Agreement at any time upon written (including email) notice to Instacart. If your termination of this Agreement results in your failure to complete an accepted Delivery Opportunity in accordance with the terms set forth in this Agreement, you may be subject to liability for any and all damages resulting therefrom.

5.2 Instacart may immediately terminate this Agreement, upon written (including email) notice to you in the event you engage in a material breach of the terms of this Agreement, including, but not limited to, any act that violates Instacart’s Full Service Shopper Account Access Guidelines (https://shoppers.instacart.com/guidelines), such as when you:

A. Cause a safety issue;

B. Violate applicable local, state, or federal laws or applicable guidance;

C. Fail to meet acceptable standards of service with respect to the end result of the Services as specified by the customer;

D. Repeatedly fail to deliver on time or repeatedly fail to deliver complete orders;

E. Fail your background checks after signing this Agreement;

F. Invade customer privacy;

G. Engage in or encourage fraudulent conduct;

H. Misuse or otherwise improperly disclose Confidential Information, or reproduce or prepare derivative works based on Instacart’s platform, in violation of Section 8 of this Agreement;

I. Invalidate this Agreement through an improper signature.

5.3 Instacart reserves the right to modify the terms of Full Service Shopper Account Access Guidelines from time to time when Instacart determines, in its reasonable and good faith business judgment, it is necessary to do so to ensure the safe and reliable operation of the Instacart platform. Any such modifications shall be effective upon posting on the Instacart Platform, either through the Instacart website or in the Shopper App. Your continued use of the Instacart Platform or performance of Services after any such changes are posted shall constitute your consent to such modifications.

5.4 Notwithstanding anything to the contrary, Instacart may stop providing access to the Instacart Platform, services, or features to you or to users of the Instacart Platform generally when Instacart determines, in its reasonable and good faith business judgment, it is necessary to do so to ensure the safe and reliable operation of the Instacart platform. Additionally, the Parties agree that the contract terminates with no written notice required if either: you do not provide any Services under the Agreement within 45 consecutive days of executing it; or, after you have started to perform Services, you do not provide Services for 75 consecutive days. You understand that upon termination of the Agreement, there is no guarantee of a presentation of a new contract.

6. RELATIONSHIP OF THE PARTIES

6.1 You enter into this Agreement as an independent contractor with a business relationship between you and Instacart. You acknowledge and agree that you operate a business separate and distinct from Instacart, and that both you and Instacart are able to operate your respective businesses without the other. It is understood that in agreeing to provide Services under this Agreement, Contractor shall be acting and shall act at all times as an independent contractor, and not as an employee of Instacart for any purpose whatsoever, including without limitation, for purposes relating to taxes, payments required by statute, or any other withholdings or remittances to any governmental agency or authority. Under no circumstances shall you look to Instacart as your employer, partner, joint venturer, agent, or principal, nor shall this Agreement be construed to establish any such relationship. YOU SHALL NOT BE ENTITLED TO ANY EMPLOYEE BENEFITS ACCORDED TO INSTACART’S EMPLOYEES, INCLUDING BUT NOT LIMITED TO, WORKERS’ COMPENSATION, DISABILITY INSURANCE, HEALTH INSURANCE, VACATION, OR SICK PAY. You further acknowledge that this Agreement does not create any employer-employee relationship between a third party retailer and yourself, and that you are not entitled to any benefits, including but not limited to, Workers’ Compensation coverage, afforded to any employees of a third party retailer.

6.2 Instacart is interested only in the results to be achieved by you under this Agreement. You shall be solely responsible for determining the manner and method of performing all Services under this Agreement, and achieving the desired results, in a lawful and safe manner. Instacart shall have no right to control, oversee, or supervise you in the performance of the Services under this Agreement. Nor shall Instacart have a right to control, oversee, or supervise any Personnel you engage to assist you in the provision of the Services under this Agreement. You acknowledge that Instacart does not provide or require training as to the performance of the Services under this Agreement.

6.3 ON A CONTINUING BASIS, YOU SHALL BE SOLELY RESPONSIBLE FOR, AND TO THE EXTENT REQUIRED BY LAW:

A. SECURING AND PAYING FOR WORKER'S COMPENSATION INSURANCE;

B. SECURING AND PAYING DISABILITY INSURANCE, HEALTH INSURANCE, AND/OR OTHER SIMILAR INSURANCE;

C. SECURING AND PAYING UNEMPLOYMENT OR OTHER SIMILAR INSURANCE CONTRIBUTIONS;

D. SECURING AND PAYING ALL NECESSARY LIABILITY INSURANCE FOR YOU AND ANY PERSONNEL;

E. SECURING AND PAYING FOR AUTOMOBILE INSURANCE IN COVERAGE AMOUNTS CONSISTENT WITH LEGAL REQUIREMENTS, INCLUDING ANY REQUIRED NO FAULT AUTOMOBILE INSURANCE OR COMMERCIAL LIABILITY INSURANCE; AND

F. WITHHOLDING INCOME AND REPORTING WAGES, OTHER SIMILAR TAXES, OR SOCIAL SECURITY, ON BEHALF OF YOURSELF AND ANY PERSONNEL AS LEVIED AND/OR REQUIRED BY ANY FEDERAL, STATE, LOCAL, OR ANY OTHER GOVERNMENTAL AUTHORITY.

YOU UNDERSTAND THAT INSTACART DOES NOT PROVIDE ANY INSURANCE LISTED ABOVE, YOU SHOULD VERIFY WHETHER YOUR AUTOMOBILE INSURANCE COVERS PERFORMANCE OF YOUR SERVICES, NOT ALL INSURANCE POLICIES COVER SUCH SERVICES, AND YOU ARE NOT ENTITLED TO RECEIVE SUCH INSURANCE COVERAGE FROM INSTACART. YOU FURTHER UNDERSTAND THAT ITEMS LISTED IN THIS SECTION (FOR EXAMPLE, COMMERCIAL AUTOMOBILE INSURANCE) MAY BE REQUIRED IN YOUR JURISDICTION, AND YOU AGREE THAT IT IS YOUR RESPONSIBILITY TO DETERMINE IF ANY OF THE ABOVE IS REQUIRED. YOU AGREE TO ABIDE WITH ALL APPLICABLE LAWS, STATUTES, AND REGULATIONS AS THEY RELATE TO THIS SECTION.

Instacart shall not be liable for any penalties, levies, fines and/or fees, which may be imposed if such taxes and/or other contributions are not paid by you. You further agree that you shall defend, indemnify, and hold Instacart and its affiliates, and their respective officers, directors, shareholders, employees, agents, successors and permitted assigns thereof harmless for any and all judgments, levies, fines, costs, penalties, assessments or fees associated with such required payments, or with respect to any demand or claim related in any way to any failure to declare, collect, remit, and/or pay on a timely basis all such taxes and related amounts.

6.4 You have no authority to make promises, agreements, or otherwise make commitments on Instacart’s behalf.

6.5 Nothing herein will preclude you from providing services to any other business, including a business directly competing with Instacart. You may represent, perform services for, or be employed by, any third persons or companies as you see fit, provided that such services do not hinder the performance of the Services under this Agreement. It is also an express violation of the terms of this Agreement to sign up for the Instacart Platform for the purpose of providing information about Instacart’s Platform or its operations to any of Instacart’s competitors or for the purpose of providing Instacart’s competitors with a competitive advantage against Instacart in any way.

6.6 Instacart does not guarantee the availability of the Instacart Platform. You understand that the Instacart Platform may be unavailable at any time and for any reason. The Instacart Platform may be subject to delays, and Instacart is not responsible for any delays, damages, or losses resulting from the delays.

7. CONTRACTOR'S REPRESENTATIONS AND INDEMNITIES

7.1 You represent and warrant that:

A. You have the full power and authority to enter into this Agreement and to perform your obligations hereunder;

B. You will comply, and will cause your Personnel to comply, with all applicable laws in your performance of this Agreement, including without limitation all applicable anti-corruption, anti-money laundering, export control, and trade sanctions laws;

C. You and your Personnel have and will maintain at all times the qualifications, licenses, registrations, insurance, and other governmental authorizations necessary to perform the Services;

D. You and your Personnel possess the appropriate skills to perform the Services in a competent, safe, and professional manner, in accordance with industry standards and applicable law; and

E. Neither you nor any of your Personnel are (i) identified on any of the restricted party lists maintained by the U.S. Government, including the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List, Foreign Sanctions Evaders List, and Sectoral Sanctions Identifications List, and the U.S. Department of Commerce’s Denied Persons List, Unverified List, and Entity List (the “Restricted Party Lists”), or (ii) owned, controlled, or employed, directly or indirectly, by one or more parties identified on any of the Restricted Party Lists.

7.2 You agree that you shall and do hereby indemnify, defend, and hold harmless Instacart, and Instacart’s officers, directors, shareholders, employees and agents, and its or their successors and assigns, from and against any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, and reasonable legal fees and costs, that any of the foregoing persons or any other persons may incur or suffer and that result from, or are related to: (a) the performance of the Services, including by you or your Personnel; (b) any breach or failure by you or your Personnel to perform or abide by any of the representations, warranties, and agreements set forth in this Agreement or incorporated by reference; (c) your or your Personnel’s violation of any law or the rights of a third party, including a customer, retail partner, or any individual associated with a retail partner, as a result of your own or your Personnel’s interaction with such third party; (d) any allegation that any materials that you or your Personnel use in carrying out the Services infringe or otherwise violate the copyright, trademark, trade secret, or other rights of any third party; (e) your or your Personnel’s ownership, use or operation of a motor vehicle or passenger vehicle, including during your or your Personnel’s provision of Services; and/or (f) any other activities in connection with the Services or the actions of your Personnel. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person. You agree that Instacart is not responsible for any loss, damage or depreciation that may occur to your or your Personnel’s equipment, including but not limited to your or your Personnel’s vehicle.

7.3 ON A CONTINUING BASIS, YOU SHALL BE RESPONSIBLE FOR:

A. MAINTAINING A VALID DRIVER’S LICENSE AND BEING MEDICALLY FIT TO OPERATE A MOTOR VEHICLE;

B. MAINTAINING ANY OTHER REQUIRED LICENSES, REGISTRATIONS, INSURANCE, AND PERMITS USUAL OR NECESSARY FOR PERFORMING THE SERVICES;

C. OWNING OR HAVING THE LEGAL RIGHT TO OPERATE THE VEHICLE YOU OR YOUR PERSONNEL USE WHEN PROVIDING SUCH SERVICES; and

D. DRIVING SAFELY AND NOT ENGAGING IN UNSAFE BEHAVIOR, INCLUDING BEING UNDER THE INFLUENCE OF ALCOHOL OR DRUGS WHILE DRIVING.

You agree to provide, upon our request, proof of insurance coverage, valid licenses, valid vehicle registration, and your criminal or driving record, provided Instacart can request this information under applicable law.

7.4 You will be solely responsible for procuring all equipment, supplies, tools, and/or instrumentalities that are necessary to perform the Services and obligations under this Agreement. You agree that while providing Services using the Instacart Platform, you will maintain the latest version of the Shopper App. You agree that by downloading and using the Shopper App, you are bound by any future amendments and additions to information referenced in the Shopper App and the Instacart Shopper Application Terms and Conditions ( https://www.instacart.com/shoppers-terms ), and the ability to continue to use of the Shopper App is consideration for and consent to such changes.

7.5 You agree that you will perform the Services in a competent, safe, and professional manner, in accordance with industry standards, recognizing that the Services are personal to the customer, in order to maximize customer satisfaction and to achieve the results represented to the customer. You understand that the Services you provide to the customer create a direct business relationship between you and the customer. You also agree that repeated cancellation of your commitments to provide the Services results in abuse of the Instacart Platform and constitutes a material breach of this Agreement that may result in termination of the Agreement. You agree to comply with any laws and regulations applicable to the performance of the Services. You further recognize and agree that customer satisfaction in the Services provided to the customer are measured, and repeated customer complaints or feedback is a reason to terminate the Agreement under Section 5, above.

7.6 You agree that the use of customer information (including but not limited to the identity, address, and contact information of customers) is governed by Instacart’s Privacy Policy for customers ( https://www.instacart.com/privacy ). You agree that you have had the opportunity to review this policy through the link provided. You agree that you will not use customer information in any manner that is inconsistent with the Privacy Policy, and that failure to abide by provision constitutes a material breach of this agreement. In particular, you agree that you will not use the Shopper App to communicate with a customer except to the extent necessary to shop for and/or deliver the customer’s order, choose customer items at a retailer site, deliver those items, and/or provide updates on the status of a customer order. Further, while you are free to provide your Services through other platforms, you may not solicit customers you connected with or gained information about through the Instacart Platform for your own delivery or grocery shopping service, or disclose customer information to any other person or entity. Moreover, you recognize and agree that customer information is Confidential Information governed by Section 8 of this agreement.

7.7 You agree to accept communications from Instacart via the Shopper App, SMS, text message, email, and/or by telephone, and you agree that such communications do not violate the Telephone Consumer Protection Act (“TCPA”), the Telemarketing Sales Rule (“TSR”), any implementing regulations of the TCPA or TSR, or any similar state laws or regulations. You consent to have Instacart call or text message you on any day (inclusive of weekends and holidays) and at any time at the phone number(s) you have directly or indirectly provided to Instacart, and to the use of an autodialer or a prerecorded or artificial voice to deliver a message, in connection with your use of the Instacart Platform, or for any other purposes including but not limited to telemarketing purposes. In addition, you consent to have Instacart call or text message you through the Shopper App on the wireless telephone that you have elected to use to download and host the Shopper App, and to the use of an autodialer or a prerecorded or artificial voice to deliver a message for any purposes, including but not limited to telemarketing purposes. This consent is not required to be provided as a condition of purchasing any property, goods, or services. This consent is part of the bargained for exchange in this contract and may not be revoked while this Agreement is in effect. You agree that telephone calls between you and Instacart or its agents or partners may be recorded and that you hereby consent to any such recording. You agree not to use Instacart customer contact information for any purpose other than provision of the Services. You further agree to comply with the TCPA, TSR, and any implementing regulations of the TCPA and TSR, as well as any similar state laws in communicating with Instacart customers.

7.8 You agree that, if you accept a Delivery Opportunity that includes an alcohol purchase, you are solely responsible for ensuring compliance with all federal, state, and local laws and guidance, including but not limited to ensuring that the individual accepting the order has a valid identification, is 21 years of age or older, and is not visibly intoxicated.

7.9 You agree that, if you accept a Delivery Opportunity that includes an item that needs to maintain either a hot or cold temperature, you will ensure compliance with all federal, state, and local laws and guidance and deliver the item in a manner that ensures the health and safety of the customer. You further agree that you will lawfully acquire any equipment, including but not limited to insulated bags, needed to perform the Services.

8. NONDISCLOSURE OF CONFIDENTIAL INFORMATION

8.1 During the course of your relationship with Instacart, you may have access to and/or become acquainted with confidential, proprietary, and/or trade secret information of Instacart and/or its customers (collectively, “Confidential Information”), which is valuable to Instacart. Confidential Information includes any and all information relating in any manner to the business, including but not limited to aspects of its technology platform, which includes the Shopper App. Confidential Information further includes any and all information relating in any manner to the business of Instacart’s clients, as applicable, and its and their consultants, customers, clients, and business associates, which is not known generally to the public. Confidential Information also includes, but is not limited to, Instacart’s business practices or operations, trade secrets, client or vendor lists, client information, customer lists, and customer information (including but not limited to the identity, address, and contact information of customers), contracts, agreements, accounting or financial information, pricing information, business plans and data, formulae, technical know-how, processes, methods, techniques, procedures, software, databases, marketing strategies and data, pending projects and proposals, programs, designs, drawings, diagrams, test data, research and other such information of a confidential nature regardless of whether furnished before or after the date of execution of this Agreement, whether oral or written, and regardless of the form of communication or the manner in which it is furnished and all analyses, compilations, data, studies, notes, interpretations, memoranda, extracts, or other documents prepared by Instacart containing or based in whole or in part on any such furnished information. You specifically agree that all Confidential Information shall be treated as confidential without regard to whether any specific item of information or material has been labeled "Confidential," "Secret," or "Trade Secret," or any similar designation. Confidential Information does not include, however, information that you can show by documentary evidence: (i) is or has become generally available to the public through no wrongful act of your own; or (ii) has been independently acquired or developed by you without violating any of your obligations under any agreement with Instacart, any agreement with a third party, or applicable law.

8.2 You: (i) will hold and maintain all Confidential Information in the strictest confidence; (ii) agree not to copy, reproduce, or create derivative works relating in any way to Instacart’s technology platform, including its Shopper App; (iii) except as reasonably necessary to perform the Services or as authorized in writing by Instacart, will not at any time, whether during or subsequent to the term of this Agreement, in any fashion, form or manner, either directly or indirectly, use, divulge, disclose, or communicate any Confidential Information to any person, firm, corporation, or entity in any manner whatsoever; and (iv) shall require, and ensure that its directors, officers, employees, agents, and permitted subcontractors who may receive Confidential Information maintain the same in strict confidence and not use or disclose the information except as permitted under this Agreement. You further agree specifically that you will keep secret from any person or entity all Confidential Information learned, transmitted, or otherwise obtained by you, including but not limited to Confidential Information about Instacart and its operations. You acknowledge that further customer-specific compliance requirements may be applicable and enforceable against you. Except for the purpose of providing the Services, at no time will you turn over your username for or password to the Shopper App to any third party.

8.3 You agree that all drawings, memorandums, invoices, diaries, project books, notebooks, sketches, reports, manuals, computer programs, computer files, screenshots, and any other materials in any manner and in any medium affecting, recording, or relating to Instacart’s Confidential Information shall at all times be and remain Instacart’s sole property, and shall not be removed from Instacart’s premises under any circumstances whatsoever without Instacart’s prior written consent, except when (and only for the period) necessary to carry out the Services hereunder, and if removed shall be immediately returned to Instacart upon termination of this Agreement, and no copies shall be kept by you. Upon Instacart's request, you will provide a truthful declaration to Instacart certifying that all Confidential Information and all copies thereof have been delivered to Instacart, and deleted from your computers, laptops, telephones, or other electronic or recording device.

8.4 If you are required by applicable law or regulation or by legal process to disclose any Confidential Information, you will immediately notify Instacart in writing prior to making any such disclosure and assist Instacart in seeking a protective order or other appropriate remedy. You further agree that if Instacart is not successful in precluding the requesting legal body from reviewing the Confidential Information, you will furnish only that portion of the Confidential Information that is legally required and will exercise your best efforts to obtain reliable assurances that confidential treatment will be accorded the Confidential Information.

8.5 The restrictions placed upon you in this Section will survive the termination of this Agreement and continue in perpetuity. You agree that any breach of any term of this Section is a material breach of this Agreement.

8.6 You acknowledge that Instacart protects information of its Contractors as set forth in its Shopper and Shopper Applicant Privacy Policy ( https://www.instacart.com/shoppers-privacy ), which you acknowledge you have had the opportunity to review.

9. MUTUAL AGREEMENT TO ARBITRATE DISPUTES (“Arbitration Provision”)

9.1 Intent to Arbitrate. You and Instacart agree to first attempt to resolve any disputes or claims amicably by providing 30 days written notice prior to filing any such dispute or claim. If the dispute or claim is not resolved amicably, and except as otherwise provided in this Arbitration Provision, you and Instacart agree that to the fullest extent permitted by law, ANY AND ALL DISPUTES OR CLAIMS BETWEEN YOU AND INSTACART shall be exclusively resolved by final and binding arbitration by a neutral arbitrator, including without limitation any and all disputes or claims BETWEEN YOU AND INSTACART, whether in contract, tort, or otherwise, relating to the formation (including unconscionability and invalidity), existence, breach, termination, interpretation, enforcement, validity, scope, and applicability of the Agreement, or the Services agreed to herein, or any claim on any basis under federal, state, or local law, which could otherwise be heard before any court of competent jurisdiction. By signing this Agreement, and unless otherwise stated in this Arbitration Provision, you and Instacart hereby waive their right to have any covered dispute, claim, or controversy decided by a judge or jury in a court. You and Instacart also understand and agree that Instacart’s business and your Services involve commerce under the Federal Arbitration Act. You and Instacart expressly agree that this Agreement shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) even in the event Instacart and/or you are otherwise exempted from the FAA. Any disputes or claims in this regard shall be resolved exclusively by an arbitrator. In the event, but only in the event, there is a final determination by a court of competent jurisdiction that the FAA does not apply, the state law governing arbitration agreements in the state in which you provide the majority of your Services shall apply. You and Instacart anticipate that by entering into this Arbitration Provision, they will gain the benefits of a speedy and less expensive dispute resolution procedure. This Arbitration Provision shall encompass all disputes and claims that Instacart may have against you, or that you may have against Instacart and/or any of its officers, directors, employees, owners, agents, representatives, benefit plans, sponsors, fiduciaries, parents, subsidiaries, or affiliated entities (each of which may enforce this Arbitration Provision as a third party beneficiary) arising out of or relating to this Agreement, your classification as an independent contractor, or the Services performed by you. Subject to the limitations set forth in Section 9.6, you and Instacart agree that the third party retailers at or in whose premises the Services under this Agreement may be performed, as well as any consumer reporting agency responsible for providing background check services of you, are intended third party beneficiaries of this Arbitration Provision. For additional clarity, by signing this Agreement, you and Instacart hereby expressly waive, to the extent permitted by applicable law, their right to have any dispute or claim resolved by a court unless specifically set out herein.

9.2 Delegation. Except as this Arbitration Provision otherwise provides, the arbitrability of any dispute between you and Instacart, including whether or to what extent all or part of this Arbitration Provision is invalid, unconscionable, or otherwise unenforceable, and whether a dispute, claim, or controversy is subject to arbitration, is a decision that will be submitted exclusively to the arbitrator, and will not be decided by any federal or state court. You and Instacart intend this delegation clause to be clear and unmistakable evidence of your and Instacart’s agreement to delegate these issues to the arbitrator, subject to the exceptions stated in the Sections 9.4 and 9.5, which set forth that this delegation clause shall not apply to the Waiver of Class Action Claims and Waiver of Representative Action Claims.

9.3 Covered Claims. Except as otherwise provided in this Arbitration Provision, the disputes and claims covered by this Arbitration Provision include any and all disputes and claims BETWEEN YOU AND INSTACART arising out of or relating to this Agreement, your classification as an independent contractor, or the Services performed under this Agreement, which could otherwise be heard before a court of competent jurisdiction (a “Claim”), including but not limited to disputes or claims related to allegations of wrongful termination; breach of any contract or covenant, express or implied; breach of any duty owed to you by Instacart or to Instacart by you; personal, physical or emotional injury (excluding benefit claims covered under the Workers’ Compensation Act); fraud, misrepresentation, defamation, and any other tort claims; wages or other compensation due; penalties; benefits; reimbursement of expenses; discrimination or harassment, including but not limited to discrimination or harassment based on race, sex, color, pregnancy, religion, national origin, ancestry, age, marital status, physical disability, mental disability, medical condition, or sexual orientation; retaliation; violation of any local, state, or federal constitution, statute, law, ordinance or regulation (as originally enacted and as amended), including but not limited to Fair Credit Reporting Act, Defend Trade Secrets Act, 42 U.S.C. §1981, Rehabilitation Act, Civil Rights Acts of 1866 and 1871, the Civil Rights Act of 1991, the Pregnancy Discrimination Act, Equal Pay Act, Title VII of the Civil Rights Act of 1964, Age Discrimination in Employment Act of 1967, Americans With Disabilities Act, Fair Labor Standards Act, Employee Retirement Income Security Act (except for claims for employee benefits under any benefit plan sponsored by Instacart and (a) covered by the Employee Retirement Income Security Act of 1974 or (b) funded by insurance), Affordable Care Act, Genetic Information Non-Discrimination Act, Uniformed Services Employment and Reemployment Rights Act, Worker Adjustment and Retraining Notification Act, Older Workers Benefits Protection Act of 1990, Occupational Safety and Health Act, Immigration Reform and Control Act, Consolidated Omnibus Budget Reconciliation Act, Family and Medical Leave Act, False Claims Act, California Fair Employment and Housing Act, California Family Rights Act, California Labor Code, California Civil Code, and the California Wage Orders, and all other federal, state or local statutory and legal claims arising out of or relating to your relationship with Instacart (including without limitation misclassification claims) or the termination of that relationship (including without limitation torts and post-termination defamation or retaliation).

This includes all claims that arose before the signing of this or any prior Agreement and any claims that may arise after the signing or termination of this Agreement, except as otherwise provided in Section 9.6.

A Claim under this Section also includes all claims or disputes between you and any third party retailer arising out of or related to the Services performed under this Agreement that may be brought against third party retailer at or in whose premises the Services under this Agreement may be performed. A Claim also includes all claims or disputes between you and a third party concerning the provision of any background check of you by a consumer reporting agency. Any disputes or claims in this regard shall be resolved exclusively by an arbitrator.

A Claim arising under any law that requires resort to an administrative agency shall be brought before such agency as required by law, and that after exhaustion of administrative remedies, the Claim must be pursued through this binding arbitration procedure to the fullest extent permitted by law.

9.4 Waiver of Class Action Claims. By signing this Agreement, Instacart and you agree that each may bring and pursue claims against the other only in their individual capacities, and may not bring, pursue or act as a plaintiff, class representative, or class member in any purported class or collective proceeding or action. Notwithstanding any other provision of this Arbitration Provision or the applicable arbitration rules under the International Institute for Conflict Prevention and Resolution (“CPR”) or ADR Services, Inc. (as described below): (1) Any claim that all or part of this Waiver of Class Action Claims is unenforceable, unconscionable, void, or voidable shall be determined only by a court of competent jurisdiction and not by an arbitrator; and (2) If the waiver set forth in this Section is found to be unenforceable, any class or collective action claims will be litigated in a court of competent jurisdiction and not as a class or collective arbitration.

9.5 Waiver of Representative Action Claims. By signing this Agreement, Instacart and you agree that each may bring and pursue claims against the other only in their individual capacities, and may not bring, pursue or act as a plaintiff or representative in any purported representative proceeding or action or otherwise participate in any such representative proceeding or action. Notwithstanding any other provision of this Agreement or the applicable arbitration rules under CPR or ADR Services, Inc. (as described below): (1) Any claim that all or part of this Waiver of Representative Action Claims is unenforceable, unconscionable, void, or voidable shall be determined only by a court of competent jurisdiction and not by an arbitrator; and (2) If the waiver set forth in this Section is found to be unenforceable, any representative action claims will be litigated in a court of competent jurisdiction and not as a representative arbitration.

9.6 Claims Not Covered. This Arbitration Provision does not apply to litigation between you (as a party or class member) and Instacart pending in a state or federal court or arbitration as of the date of your receipt of this Agreement. Claims not covered by this Agreement are claims for workers’ compensation benefits, unemployment compensation benefits, or any other claims that as a matter of controlling law cannot be arbitrated. Nothing in this Agreement prohibits you from exercising rights protected under the National Labor Relations Act or from making a report to or filing a claim or charge with the Equal Employment Opportunity Commission, U.S. Department of Labor, Securities and Exchange Commission, National Labor Relations Board, or Office of Federal Contract Compliance Programs. Nothing in this Agreement prevents the investigation by a government agency of any report, claim or charge otherwise covered by this Arbitration Provision. Disputes or claims between Instacart and any third party beneficiaries are not covered by the terms of this Arbitration Provision.

9.7 Arbitration Procedures and Location. Except as described below for Contractors providing services in California, by signing this Agreement, you and Instacart further agree that any arbitration shall be conducted before one neutral arbitrator selected by the Parties as provided by the CPR Administered Arbitration Rules and, if applicable, the CPR Employment-Related Mass-Claims Protocol (collectively, the “CPR Rules”). The arbitration shall be conducted under the CPR Rules then in effect. You may obtain a copy of the CPR Rules by requesting a copy from Instacart or by accessing CPR’s website at www.cpradr.org and searching, or using other websites to search, for “CPR Administered Arbitration Rules” and “CPR Employment-Related Mass-Claims Protocol.” By signing this Agreement, you acknowledge that you have had an opportunity to review the CPR Rules before signing this Agreement. If CPR is not available to hear the matter in dispute, you and Instacart shall confer and agree upon a mutually agreeable arbitral forum. The unavailability of CPR or any other arbitral forum shall not be a basis to invalidate the Parties’ agreement to arbitrate. If for any reason you and Instacart cannot agree to an arbitral forum, either party may apply to a court of competent jurisdiction with authority over the location where the arbitration will be conducted for appointment of a neutral arbitrator.

California Contractor Arbitration Rules: For any Contractor providing services in California, the Contractor and Instacart agree any arbitration shall be conducted before one neutral arbitrator selected by the Parties as provided by ADR Services, Inc.’s (“ADR Services Rules”). The arbitration shall be administered by ADR Services, Inc. and shall be conducted under the ADR Services Rules then in effect. You may obtain a copy of the ADR Services Rules by requesting a copy from Instacart or by accessing the ADR Services, Inc.’s website at https://www.adrservices.com/services/arbitration-rules. By signing this Agreement, you acknowledge that you have had an opportunity to review the ADR Services Rules before signing this Agreement. If ADR Services is not available to hear the matter in dispute, you and Instacart shall confer and agree upon a mutually agreeable arbitral forum.  The unavailability of ADR Services or any other arbitral forum shall not be a basis to invalidate the Parties’ agreement to arbitrate.  If for any reason you and Instacart cannot agree to an arbitral forum, either party may apply to a court of competent jurisdiction with authority over the location where the arbitration will be conducted for appointment of a neutral arbitrator.

The arbitration shall be held in the United States county where you live or perform Services or in any other location you and Instacart mutually agree upon in writing.

9.8 Arbitration Fees, Attorney’s Fees, and Costs. You and Instacart shall follow the CPR Rules or ADR Services Rules applicable to initial filing fees, but in no event will you be responsible for any portion of those fees in excess of the filing or initial appearance fees applicable to court actions in the jurisdiction where the arbitration will be conducted. After you pay your portion of any initial filing fee, Instacart shall pay any remaining portion of the initial fee and will also pay all costs and expenses unique to arbitration, including, without limitation, the arbitrator’s fees and any CPR or ADR Services Inc.’s arbitration administrative expenses. Payment of all filing, administration, and arbitrator fees (collectively, “arbitration fees”) will be governed by the applicable CPR Rules or ADR Services Rules and the laws of the jurisdiction in which you performed Services. In all cases required by law, Instacart will pay the full amount of the arbitration fees. Any disputes in that regard will be resolved by the arbitrator as soon as practicable after the arbitrator is selected, and Instacart shall bear all of the arbitration fees until such time as the arbitrator resolves any such dispute. You may be represented by counsel during any arbitration proceeding. Each party shall pay its own costs and attorney’s fees, subject to the arbitrator’s ability, described in Section 9.9, to award costs and attorney’s fees to the extent such a remedy would have been available to the parties had the matter been heard in a court.

9.9 Awards. The arbitrator is authorized to award only those remedies or relief available under applicable law and that the arbitrator deems just and equitable, including any remedy or relief that would have been available to the Parties had the matter been heard in a court, except that this Section does not encompass, permit or authorize any remedy or relief awarded on a class-wide, collective or representative basis. The decision of the arbitrator shall be in writing and shall provide the findings of act and conclusions of law supporting the award unless you and Instacart agree otherwise. You or Instacart may apply to a court of competent jurisdiction for temporary or preliminary injunctive relief in connection with an arbitrable controversy in accordance with applicable law, and any such application shall not be deemed incompatible with or waiver of this agreement to arbitrate. The court to which the application is made is authorized to consider the merits of the arbitrable controversy to the extent it deems necessary in making its ruling, but only to the extent permitted by applicable law. All determinations of final relief, however, will be decided in arbitration.

9.10 (a) Opt-Out for Arbitration Provision. You have 30 calendar days from the date you sign this Agreement to opt-out of the Arbitration Provision. However, opting-out of this Arbitration Provision does not affect any other part of this Agreement. If you opt-out of the Arbitration Provision, then neither you nor Instacart will be bound by the terms of this Arbitration Provision. Should you not opt-out in accordance with this Section within the 30 day period, then this Arbitration Provision will become fully effective and binding as of the date the Agreement is executed by you. If you agreed to a previous arbitration agreement with Instacart and opt out of this Arbitration Provision, you remain bound by that prior arbitration agreement and must arbitrate any and all claims or disputes covered by that prior arbitration agreement, regardless of whether those claims or disputes arise after the date you execute this Agreement.

(b) To opt-out, within 30 days from the date you sign this Agreement, you must notify Instacart in writing of your intent to opt-out of the Arbitration Provision by providing your first and last name and a clear statement of your intent to opt-out such as “I wish to opt-out of the Arbitration Provision” or words to that effect. The written intent to opt-out must be provided either by: (1) sending electronic mail to [email protected]; or (2) by sending a letter by U.S. Mail, or by any nationally recognized delivery service (e.g. Federal Express, UPS), or delivered by hand to:

(c) In order to be effective, the letter under option (2) must be dated and signed and the envelope containing the signed letter must be received (if delivered by hand) or post-marked within 30 days of the date you sign this Agreement. Your written intent to opt-out of the Arbitration Provision, whether sent by (1) or (2), will be maintained by Instacart, and you are encouraged to retain a copy for your records.

10. NOTICES

Except as explicitly provided in Section 9.10, any notices to Instacart shall be given by certified mail, postage prepaid and return receipt requested to:

Such notice shall be deemed given three days after the date of mailing. Any notices to you shall be provided through the Shopper App or given via the email address you provided to Instacart, and such notice shall be deemed given immediately upon sending. Alternatively, Instacart may provide you notice by certified mail to the address provided by you to Instacart. In such case, notice shall be deemed given 3 days after the date of mailing.

11. SUCCESSORS AND ASSIGNS

This Agreement is intended to bind and inure to the benefit of and be enforceable by Instacart, you, and our respective heirs, successors and assigns, except that you may not assign your rights or delegate your duties or obligations hereunder (including, without limitation, pursuant to any subcontract) without the prior written consent of Instacart. This should not be construed as precluding you from hiring individuals to assist in the provision of Services.

12. SEVERABILITY

Except as explicitly set forth in Section 9.4 and 9.5, in the event that any provision of this Agreement is held to be illegal, invalid, void, null, or unenforceable, the remainder of the Agreement shall remain in full force and effect. In cases where some claims are arbitrable under the Arbitration Provision but other claims are not arbitrable, the claims that are not arbitrable shall be stayed in a court of competent jurisdiction pending the outcome of the arbitration of the arbitrable claims.

13. MODIFICATION AND WAIVER

13.1 The Agreement can only be revoked or modified in writing signed by both Parties that specifically states an intent to revoke or modify this Agreement. This Agreement shall constitute the entire agreement and understanding between the Parties with respect to the subject matter of this Agreement and, unless as permitted herein, shall not be modified, altered, changed, or amended in any respect, unless in writing and signed by both Parties. Before accepting any modifications, alterations, changes, or amendments, you shall have the right to discuss any proposed changes with Instacart and consider whether to continue your contractual relationship with Instacart. Unless otherwise stated in this Agreement, THIS AGREEMENT SUPERSEDES ALL PRIOR AGREEMENTS. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE OR ACCESS THE INSTACART PLATFORM. No waiver by any Party to this Agreement of any provision hereof shall be deemed to be a waiver of any other provision of this Agreement, or of any subsequent breach of such provision, or a waiver of any other provision of this Agreement by any other.

13.2 Instacart also reserves the right to modify any information referenced in the hyperlinks included in this Agreement from time to time in its reasonable and good faith business judgment. Any such modifications shall become effective upon posting. Continued use of the Instacart Platform or performance of Services after any such changes are posted shall constitute your consent to such changes. Unless material changes are made to the Arbitration Provision herein, you agree that modification of this Agreement and/or the hyperlinks included in this Agreement does not create a renewed opportunity to opt-out of arbitration (if applicable). As set forth in Section 9.10, a renewed opportunity to opt-out of the arbitration will not relieve you of any prior and/or other arbitration agreement(s) with Instacart to which you may be bound.

14. VOLUNTARY

By executing this Agreement, the Parties represent that they have been given the opportunity to fully review, comprehend, and negotiate the terms of this Agreement. The Parties understand the terms of this Agreement and freely and voluntarily sign this Agreement. If you have any questions about this Agreement, you may wish to consult an attorney and are free to do so.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of California; however, the Parties agree that Arbitration Provision is governed by the Federal Arbitration Act as provided in Section 9.1. The language in all parts of this Agreement shall in all cases be construed according to its fair meaning and not strictly for or against either Party.

16. ENTIRE AGREEMENT

Except to the extent that you opt-out of the Arbitration Provision in this Agreement and are bound by previous and/or other arbitration agreement(s) with Instacart, this Agreement supersedes any and all other agreements between you and Instacart, whether oral or in writing, and contains all of the covenants and agreements between you and Instacart with respect to your Services. You and Instacart each acknowledge that no representations, inducements, promises, or agreements, originally or otherwise, have been made to either Party to the other, or by anyone acting on behalf of either Party, which are not embodied herein.

17. EFFECTIVE DATE

The Effective Date of this Agreement is the date upon which you sign.

INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement ("Agreement") is made effective as of [Effective Date] by and between Maplebear Canada Inc., doing business as Instacart, and its subsidiaries, representatives, affiliates, officers, and directors (collectively, "Instacart” “we”, “us,” or “our”), and [Legal First & Last name / Name of Corporate Entity], [an individual] ("Contractor," “you,” or “your”), (collectively referred to as the “Parties”).

IMPORTANT: YOU ACKNOWLEDGE AT THE OUTSET THAT, FOR THE PURPOSES OF CARRYING OUT THIS AGREEMENT, YOU AGREE TO ALL TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. PAY ATTENTION TO SECTION 9, WHICH SETS FORTH THAT WITH CERTAIN EXCEPTIONS YOU AND INSTACART MUTUALLY AGREE TO ARBITRATE ANY LEGAL DISPUTES OR CLAIMS THAT MIGHT ARISE BETWEEN YOU. SECTION 9 REQUIRES THAT, EXCEPT AS PROHIBITED BY LAW OR UNLESS YOU OPT-OUT OF THE ARBITRATION PROVISION (AS SET FORTH IN SECTION 9.9), THE PARTIES WILL RESOLVE DISPUTES OR CLAIMS ON AN INDIVIDUAL BASIS IN AN ARBITRATION PROCEEDING.

1. THE INSTACART PLATFORM

1.1 Instacart is a technology company that provides a communications and logistics platform that enables consumers who seek personal shopping and/or delivery services from retailers in their area to be matched with third party providers interested in providing those services (the “Instacart Platform”).

1.2 You are an independent provider of personal shopping and/or delivery services. As the Instacart platform is not available to children (persons under the age of 18), you represent and warrant that you, in your capacity as an individual and/or sole proprietor or in your capacity as an individual owner of a corporate entity, are at least 18 years old and that you have the right, authority, and capacity to enter into and abide by the terms of this Agreement. You are in lawful possession of all equipment, insurance, and licenses necessary to perform the shopping and/or delivery services contemplated by this Agreement in accordance with all applicable laws. You desire to enter into this Agreement for the purpose of using the Instacart Platform to obtain business opportunities to perform personal shopping and delivery services on behalf of consumers.

1.3 Instacart is constantly modifying and improving the Instacart Platform. Instacart may introduce new features, change existing features, or remove features from the Instacart Platform at any time and without notice, subject to the terms of this Agreement. If you provide Instacart with any feedback on or comments regarding the Instacart Platform or your provision of Services under this Agreement, you grant Instacart the right to use such feedback or comments for any purpose without restriction or payment to you.

1.4 The Parties agree that they will act in accordance with the terms of this Agreement.

2. SERVICES OF THE CONTRACTOR

2.1 From time to time, Instacart may notify you of an opportunity to perform personal shopping and/or delivery services through the Instacart Platform on behalf of consumers (a “Delivery Opportunity”). If you accept a Delivery Opportunity, you agree to use the Instacart Platform to retrieve the requested retail items from the store selected by the customer and deliver them in a safe and timely manner in accordance with the delivery window requested by the customer (the “Services”).

2.2 You acknowledge that you, as a prerequisite to performing the Services, in your capacity as an individual and/or sole proprietor or in your capacity as an individual owner of a corporate entity, will need to consent to background checks, and continued access to the Instacart Platform is contingent upon passing the background checks and otherwise complying with the terms of this Agreement (and any documents incorporated by reference). After receiving access to the Instacart Platform, Instacart may conduct additional background checks on you, in compliance with applicable law, through its background check provider. Instacart will issue you a username and password so that you can access the Instacart Platform to provide the Services. You agree that only you will use the username and password, as you are the sole authorized user. Nothing in this Agreement should be construed as precluding you from engaging personnel to assist in the provision of Services, as set forth in further detail in Section 4 below.

2.3 You acknowledge that Instacart does not impose any minimum or maximum amount of Services that you are required to provide. Moreover, you are under no obligation to accept any particular Delivery Opportunity that is offered to you. You are free to accept or reject any Delivery Opportunity, in your business judgment and discretion. If, however, you do accept a Delivery Opportunity, then you are contractually obligated to complete it. You further agree to accept liability for any and all damages resulting from your or your Personnel’s failure to complete a Delivery Opportunity in accordance with the terms set forth in this Agreement.

2.4 You agree that there is no minimum or maximum number of Delivery Opportunities that Instacart will make available to you. You further agree that Instacart does not dictate the time of the performance of the Services.

2.5 If Instacart desires to engage you for any purposes other than or in addition to the Services, and if you agree to such an additional engagement, you and Instacart shall agree upon the specific terms and conditions. However, such terms and conditions shall govern that additional engagement only and shall not modify the terms and conditions governing the Services as set forth in this Agreement. Any disputes or claims arising out of or related to the provision of such additional engagement shall be governed by the Arbitration Provision (including the opt-out option) in Section 9 of this Agreement.

2.6 The Parties acknowledge that the term of this Agreement does not reflect an uninterrupted service arrangement. Each Delivery Opportunity you accept shall be treated as a separate contractual engagement, with no continuing obligation to provide Services. No Services will be performed without the Parties’ mutual agreement.

3. RATES AND PAYMENT

3.1 Instacart agrees to pay you for the Services within 30 days of performance. Instacart reserves the right to change the rates for payment components at any time, and Instacart will provide you with notice of the changes in advance of your accepting a Delivery Opportunity through Instacart’s Shopper App. Instacart does not pay earnings by salary or by an hourly rate.

3.2 For a Delivery Opportunity that involves both personal shopping and delivery, you will be provided a payment for each delivery, which takes into account factors such as weight of items, number and types of items, estimated distance and time, and any applicable incentive. Payment components are shown in the Shopper App, and you can review the applicable estimated payments prior to accepting or rejecting a Delivery Opportunity.

3.3 For a Delivery Opportunity that involves delivery only, you will be provided a payment for each delivery. Payment components are shown in the Shopper App, and you can review the applicable estimated payments prior to accepting or rejecting a Delivery Opportunity.

3.4 You understand and agree that if you are dissatisfied with the payment for a particular Delivery Opportunity, you may negotiate for an increase of that payment with Instacart by contacting Community Support. Instacart will consider any such request in good faith, but shall not be obligated to remit payment other than as set forth in the Shopper App.

3.5 As a condition of receiving payment, you agree to provide Instacart with your Social Insurance Number and the requisite authorization for required background checks. You shall be responsible for all costs and expenses incurred or necessary in the performance of the Services, including but not limited to phone, parking, vehicle, insurance, and travel expenses.

3.6 Instacart shall pay to you any applicable goods and services tax, harmonized sales tax, provincial sales tax, value added tax, and other similar taxes (collectively “GST/HST”), in addition to the payments hereunder provided that you are validly registered for GST/HST purposes. If you are registered for GST/HST purposes under Part IX of the Excise Tax Act (Canada), or similar provincial tax legislation, or if you become so registered at any time during the term of this Agreement, you shall provide Instacart with your GST/HST registration number(s) on the Instacart Platform. Instacart shall take reasonable steps to validate the GST/HST number(s) that you provide, and may not make payments of GST/HST to you until it is satisfied that the GST/HST number(s) you have provided is/are valid at the relevant time. If Instacart withholds any payments of GST/HST to you during this validation process, such GST/HST will be released to you for remittance to the government once Instacart is satisfied that your GST/HST registration is/are valid at that time. Instacart is not responsible for any GST/HST, penalties, interest or other amounts that may be assessed against you as a result of your failure to provide a valid GST/HST number to Instacart.

3.7 You may request that Instacart make earnings payable in your name or in your capacity as a sole proprietorship, trade, or other corporate or business entity.

4. YOUR PERSONNEL

4.1 Subject to compliance with this Agreement, you will have sole discretion over whether to engage subcontractors or use employees, assistants or helpers (collectively “Personnel”) to assist in the provision of Services, and you will be solely responsible for the direction and control of your Personnel. Notwithstanding the foregoing, you remain liable for the performance of the Services by your Personnel, and the engagement of Personnel will not release you from any of your obligations under this Agreement.

4.2 You will require all Personnel performing the Services hereunder to comply with all eligibility requirements set forth in Sections 1 and 2 above. You acknowledge that, as a prerequisite to performing the Services, your Personnel will need to consent to background checks, and continued access to the Instacart Platform is contingent upon passing the background checks and otherwise complying with the terms of this Agreement (and any documents incorporated by reference). Before allowing any Personnel to perform the Services, you agree to make your records demonstrating compliance with the foregoing requirements available to Instacart for verification. Instacart’s right to verification herein does not in any way mitigate or reduce your obligation to ensure your Personnel’s compliance with the requirements of this Agreement.

4.3 Any Personnel you engage to assist in the provision of Services will need to access the Instacart Platform using their own separate username and password to provide the Services.

4.4 Payment for Delivery Opportunities accepted by your Personnel will be payable to your Personnel. Payment for Delivery Opportunities accepted by you that are performed by your Personnel will be payable to you. You assume full responsibility, and Instacart will not be responsible, for the payment of any compensation, benefits and/or expenses to your Personnel (which will be determined in your sole discretion) or for any payment from your Personnel to you, and for reporting, withholding and remitting any and all ordinary federal and provincial payroll taxes, including income taxes, employment insurance and Canadian Pension Plan contributions related to your Personnel. Unless required by law, Instacart will not have any withholding obligations with respect to compensation of your Personnel.

4.5 As a condition of performing the Services hereunder, any Personnel performing the Services must execute a separate acknowledgment representing, warranting and agreeing to comply with this Agreement. You agree to provide a copy of such acknowledgement and/or contract between you and your Personnel to Instacart for verification.

4.6 As further set forth in Section 7 below, you agree to indemnify, defend, and hold harmless Instacart, and Instacart’s officers, directors, shareholders, employees and agents, and its or their successors and assigns, from and against any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, and reasonable legal fees and costs, that any of your Personnel may assert against Instacart that result from, or are related to the performance of the Services, by you or your Personnel, or your relationship with any of your Personnel, including claims for unpaid wages, benefits and/or expenses, whether brought under federal, provincial or local law.

5 TERMINATION OF AGREEMENT

5.1 You may terminate this Agreement at any time upon written (including email) notice to Instacart. If your termination of this Agreement results in your failure to complete an accepted Delivery Opportunity in accordance with the terms set forth in this Agreement, you may be subject to liability for any and all damages resulting therefrom.

5.2 Instacart may immediately terminate this Agreement, upon written (including email) notice to you in the event you engage in a material breach of the terms of this Agreement, including, but not limited to, any act that violates Instacart’s Full Service Shopper Account Access Guidelines (https://shoppers.instacart.com/guidelines), such as when you:

A. Cause a safety issue;

B. Violate applicable local, provincial, or federal laws or applicable guidance;

C. Fail to meet acceptable standards of service with respect to the end result of the Services as specified by the customer;

D. Repeatedly fail to deliver on time or repeatedly fail to deliver complete orders;

E. Fail your background checks after signing this Agreement;

F. Invade customer privacy;

G. Engage in or encourage fraudulent conduct;

H. Misuse or otherwise improperly disclose Confidential Information, or reproduce or prepare derivative works based on Instacart’s platform, in violation of Section 8 of this Agreement;

I. Invalidate this Agreement through an improper signature.

5.3 Instacart reserves the right to modify the terms of Full Service Shopper Account Access Guidelines from time to time when Instacart determines, in its reasonable and good faith business judgment, it is necessary to do so to ensure the safe and reliable operation of the Instacart platform. Any such modifications shall be effective upon posting on the Instacart Platform, either through the Instacart website or in the Shopper App. Your continued use of the Instacart Platform or performance of Services after any such changes are posted shall constitute your consent to such modifications.

5.4 Notwithstanding anything to the contrary, Instacart may stop providing access to the Instacart Platform, services, or features to you or to users of the Instacart Platform generally when Instacart determines, in its reasonable and good faith business judgment, it is necessary to do so to ensure the safe and reliable operation of the Instacart platform. Additionally, the Parties agree that the contract terminates with no written notice required if either: you do not provide any Services under the Agreement within 45 consecutive days of executing it; or, after you have started to perform Services, you do not provide Services for 75 consecutive days. You understand that upon termination of the Agreement, there is no guarantee of a presentation of a new contract.

6. RELATIONSHIP OF THE PARTIES

6.1 You enter into this Agreement as an independent contractor with a business relationship between you and Instacart. You acknowledge and agree that you operate a business separate and distinct from Instacart, and that both you and Instacart are able to operate your respective businesses without the other. It is understood that in agreeing to provide Services under this Agreement, Contractor shall be acting and shall act at all times as an independent contractor, and not as an employee of Instacart for any purpose whatsoever, including without limitation, for purposes relating to taxes, payments required by statute, or any other withholdings or remittances to any governmental agency or authority. Under no circumstances shall you look to Instacart as your employer, partner, joint venturer, agent, or principal, nor shall this Agreement be construed to establish any such relationship. YOU SHALL NOT BE ENTITLED TO ANY EMPLOYEE BENEFITS ACCORDED TO INSTACART’S EMPLOYEES, INCLUDING BUT NOT LIMITED TO, WORKERS’ COMPENSATION, DISABILITY INSURANCE, SEVERANCE PAY, HEALTH INSURANCE, VACATION PAY, OR SICK PAY. You further acknowledge that this Agreement does not create any employer-employee relationship between a third party retailer and yourself, and that you are not entitled to any benefits, including but not limited to, Workers’ Compensation coverage, afforded to any employees of a third party retailer.

6.2 Instacart is interested only in the results to be achieved by you under this Agreement. You shall be solely responsible for determining the manner and method of performing all Services under this Agreement, and achieving the desired results, in a lawful and safe manner. Instacart shall have no right to control, oversee, or supervise you in the performance of the Services under this Agreement. Nor shall Instacart have a right to control, oversee, or supervise any Personnel you engage to assist you in the provision of the Services under this Agreement. You acknowledge that Instacart does not provide or require training as to the performance of the Services under this Agreement.

6.3 ON A CONTINUING BASIS, YOU SHALL BE SOLELY RESPONSIBLE FOR, AND TO THE EXTENT REQUIRED BY LAW:

A. SECURING AND PAYING FOR WORKERS’ COMPENSATION INSURANCE;

B. SECURING AND PAYING DISABILITY INSURANCE, HEALTH INSURANCE, AND/OR OTHER SIMILAR INSURANCE;

C. SECURING AND PAYING EMPLOYMENT INSURANCE OR OTHER SIMILAR INSURANCE CONTRIBUTIONS, INCLUDING CANADA PENSION PLAN;

D. SECURING AND PAYING ALL NECESSARY LIABILITY INSURANCE FOR YOU AND ANY PERSONNEL;

E. SECURING AND PAYING FOR AUTOMOBILE INSURANCE IN COVERAGE AMOUNTS CONSISTENT WITH LEGAL REQUIREMENTS, INCLUDING ANY REQUIRED NO FAULT AUTOMOBILE INSURANCE OR COMMERCIAL LIABILITY INSURANCE; AND

F. THE PAYMENT AND REMITTANCE OF ALL TAXES AND RELATED AMOUNTS, INCLUDING WITHOUT LIMITATION, GHT/HST, INCOME TAXES, SOURCE DEDUCTION PAYMENTS, AND NON-RESIDENT WITHHOLDING TAXES AND CONTRIBUTIONS ON BEHALF OF YOURSELF AND ANY PERSONNEL AS LEVIED AND/OR REQUIRED BY ANY FEDERAL, PROVINCIAL, STATE, LOCAL, OR ANY OTHER GOVERNMENTAL AUTHORITY.

YOU UNDERSTAND THAT INSTACART DOES NOT PROVIDE ANY INSURANCE LISTED ABOVE, YOU SHOULD VERIFY WHETHER YOUR AUTOMOBILE INSURANCE COVERS PERFORMANCE OF YOUR SERVICES, NOT ALL INSURANCE POLICIES COVER SUCH SERVICES, AND YOU ARE NOT ENTITLED TO RECEIVE SUCH INSURANCE COVERAGE FROM INSTACART. YOU FURTHER UNDERSTAND THAT ITEMS LISTED IN THIS SECTION (FOR EXAMPLE, COMMERCIAL AUTOMOBILE INSURANCE) MAY BE REQUIRED IN YOUR JURISDICTION, AND YOU AGREE THAT IT IS YOUR RESPONSIBILITY TO DETERMINE IF ANY OF THE ABOVE IS REQUIRED. YOU AGREE TO ABIDE WITH ALL APPLICABLE LAWS, STATUTES, AND REGULATIONS AS THEY RELATE TO THIS SECTION.

Instacart shall not be liable for any penalties, levies, fines and/or fees, which may be imposed if such taxes and/or other contributions are not paid by you. You further agree that you shall defend, indemnify, and hold Instacart and its affiliates, and their respective officers, directors, shareholders, employees, agents, successors and permitted assigns thereof harmless for any and all judgments, levies, fines, costs, penalties, assessments or fees associated with such required payments, or with respect to any demand or claim related in any way to any failure to declare, collect, remit, and/or pay on a timely basis all such taxes and related amounts.

6.4 You have no authority to make promises, agreements, or otherwise make commitments on Instacart’s behalf.

6.5 Nothing herein will preclude you from providing services to any other business, including a business directly competing with Instacart. You may represent, perform services for, or be employed by, any third persons or companies as you see fit, provided that such services do not hinder the performance of the Services under this Agreement. It is also an express violation of the terms of this Agreement to sign up for the Instacart Platform for the purpose of providing information about Instacart’s Platform or its operations to any of Instacart’s competitors or for the purpose of providing Instacart’s competitors with a competitive advantage against Instacart in any way.

6.6 Instacart does not guarantee the availability of the Instacart Platform. You understand that the Instacart Platform may be unavailable at any time and for any reason. The Instacart Platform may be subject to delays, and Instacart is not responsible for any delays, damages, or losses resulting from the delays.

7. CONTRACTOR'S REPRESENTATIONS AND INDEMNITIES

7.1 You represent and warrant that:

A. You have the full power and authority to enter into this Agreement and to perform your obligations hereunder;

B. You will comply, and will cause your Personnel to comply, with all applicable laws in your performance of this Agreement, including without limitation all applicable anti-corruption, anti-money laundering, export control, and trade sanctions laws;

C. You and your Personnel have and will maintain at all times the qualifications, licenses, registrations, insurance, and other governmental authorizations necessary to perform the Services;

D. You and your Personnel possess the appropriate skills to perform the Services in a competent, safe, and professional manner, in accordance with industry standards and applicable law; in the event that you or your Personnel elect to provide Services within the Province of Quebec, you and such Personnel will comply with applicable laws in Quebec regarding providing services in French, to the extent this applies to the Services, and you and your Personnel will possess the necessary language skills to competently communicate in French;

E. You and your Personnel are and will be at all times residents of Canada for the purposes the Income Tax Act (Canada); and

F. Neither you nor any of your Personnel are (i) identified on any of the restricted party lists maintained by (A) the Government of Canada, including the Special Economic Measures Act, the United Nations Act, the Criminal Code, the Freezing of Assets of Corrupt Foreign Officials Act, or the Justice for Victims of Corrupt Foreign Officials Act (Sergei Magnitsky Law) or (B) the U.S. Government, including the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List, Foreign Sanctions Evaders List, and Sectoral Sanctions Identifications List, and the U.S. Department of Commerce’s Denied Persons List, Unverified List, and Entity List (the “Restricted Party Lists”), or (ii) owned, controlled, or employed, directly or indirectly, by one or more parties identified on any of the Restricted Party Lists.

7.2 You agree that you shall and do hereby indemnify, defend, and hold harmless Instacart, and Instacart’s officers, directors, shareholders, employees and agents, and its or their successors and assigns, from and against any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, and reasonable legal fees and costs, that any of the foregoing persons or any other persons may incur or suffer and that result from, or are related to: (a) the performance of the Services, including by you or your Personnel; (b) any breach or failure by you or your Personnel to perform or abide by any of the representations, warranties, and agreements set forth in this Agreement or incorporated by reference; (c) your or your Personnel’s violation of any law or the rights of a third party, including a customer, retail partner, or any individual associated with a retail partner, as a result of your own or your Personnel’s interaction with such third party; (d) any allegation that any materials that you or your Personnel use in carrying out the Services infringe or otherwise violate the copyright, trademark, trade secret, or other rights of any third party; (e) your or your Personnel’s ownership, use or operation of a motor vehicle or passenger vehicle, including during your or your Personnel’s provision of Services; and/or (f) any other activities in connection with the Services or the actions of your Personnel. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person. You agree that Instacart is not responsible for any loss, damage or depreciation that may occur to your or your Personnel’s equipment, including but not limited to your or your Personnel’s vehicle.

7.3 ON A CONTINUING BASIS, YOU SHALL BE RESPONSIBLE FOR:

A. MAINTAINING A VALID DRIVER’S LICENSE AND BEING MEDICALLY FIT TO OPERATE A MOTOR VEHICLE;

B. MAINTAINING ANY OTHER REQUIRED LICENSES, REGISTRATIONS, INSURANCE, AND PERMITS USUAL OR NECESSARY FOR PERFORMING THE SERVICES;

C. OWNING OR HAVING THE LEGAL RIGHT TO OPERATE THE VEHICLE YOU OR YOUR PERSONNEL USE WHEN PROVIDING SUCH SERVICES; and

D. DRIVING SAFELY AND NOT ENGAGING IN UNSAFE BEHAVIOR, INCLUDING BEING UNDER THE INFLUENCE OF ALCOHOL OR DRUGS WHILE DRIVING.

You agree to provide, upon our request, proof of insurance coverage, valid licenses, valid vehicle registration, and your criminal or driving record, provided Instacart can request this information under applicable law.

7.4 You will be solely responsible for procuring all equipment, supplies, tools, and/or instrumentalities that are necessary to perform the Services and obligations under this Agreement. You agree that while providing Services using the Instacart Platform, you will maintain the latest version of the Shopper App. You agree that by downloading and using the Shopper App, you are bound by any future amendments and additions to information referenced in the Shopper App and the Instacart Shopper Application Terms and Conditions ( https://www.instacart.com/shoppers-terms ), and the ability to continue to use of the Shopper App is consideration for and consent to such changes.

7.5 You agree that you will perform the Services in a competent, safe, and professional manner, in accordance with industry standards, recognizing that the Services are personal to the customer, in order to maximize customer satisfaction and to achieve the results represented to the customer. You understand that the Services you provide to the customer create a direct business relationship between you and the customer. You also agree that repeated cancellation of your commitments to provide the Services results in abuse of the Instacart Platform and constitutes a material breach of this Agreement that may result in termination of the Agreement. You agree to comply with any laws and regulations applicable to the performance of the Services. You further recognize and agree that customer satisfaction in the Services provided to the customer are measured, and repeated customer complaints or feedback is a reason to terminate the Agreement under Section 5, above.

7.6 You agree that the use of customer information (including but not limited to the identity, address, and contact information of customers) is governed by Instacart’s Privacy Policy for customers ( https://www.instacart.com/privacy ). You agree that you have had the opportunity to review this policy through the link provided. You agree that you will not use customer information in any manner that is inconsistent with the Privacy Policy, and that failure to abide by provision constitutes a material breach of this agreement. In particular, you agree that you will not use the Shopper App to communicate with a customer except to the extent necessary to shop for and/or deliver the customer’s order, choose customer items at a retailer site, deliver those items, and/or provide updates on the status of a customer order. Further, while you are free to provide your Services through other platforms, you may not solicit customers you connected with or gained information about through the Instacart Platform for your own delivery or grocery shopping service, or disclose customer information to any other person or entity. Moreover, you recognize and agree that customer information is Confidential Information governed by Section 8 of this agreement.

7.7 You agree to accept communications from Instacart via the Shopper App, SMS, text message, email, and/or by telephone, and you agree that such communications do not violate any applicable laws. You consent to have Instacart call or text message you on any day (inclusive of weekends and holidays) and at any time at the phone number(s) you have directly or indirectly provided to Instacart, and to the use of an autodialer or a prerecorded or artificial voice to deliver a message, in connection with your use of the Instacart Platform, or for any other purpose. In addition, you consent to have Instacart call or text message you through the Shopper App on the wireless telephone that you have elected to use to download and host the Shopper App, and to the use of an autodialer or a prerecorded or artificial voice to deliver a message for any purposes. This consent is part of the bargained for exchange in this contract and may not be revoked while this Agreement is in effect (except that you may revoke your consent to marketing communications in accordance with applicable laws). You agree that telephone calls between you and Instacart or its agents or partners may be recorded and that you hereby consent to any such recording. You agree not to use Instacart customer contact information for any purpose other than provision of the Services. You further agree to comply with applicable laws in communicating with Instacart customers.

7.8 You agree that, if you accept a Delivery Opportunity that includes an alcohol purchase, you are solely responsible for ensuring compliance with all federal, provincial, and local laws and guidance, including but not limited to ensuring that the individual accepting the order has a valid identification, is at least the minimum legal drinking age or older, and is not visibly intoxicated.

7.9 You agree that, if you accept a Delivery Opportunity that includes an item that needs to maintain either a hot or cold temperature, you will ensure compliance with all federal, provincial, and local laws and guidance and deliver the item in a manner that ensures the health and safety of the customer. You further agree that you will lawfully acquire any equipment, including but not limited to insulated bags, needed to perform the Services.

8. NONDISCLOSURE OF CONFIDENTIAL INFORMATION

8.1 During the course of your relationship with Instacart, you may have access to and/or become acquainted with confidential, proprietary, and/or trade secret information of Instacart and/or its customers (collectively, “Confidential Information”), which is valuable to Instacart. Confidential Information includes any and all information relating in any manner to the business, including but not limited to aspects of its technology platform, which includes the Shopper App. Confidential Information further includes any and all information relating in any manner to the business of Instacart’s clients, as applicable, and its and their consultants, customers, clients, and business associates, which is not known generally to the public. Confidential Information also includes, but is not limited to, Instacart’s business practices or operations, trade secrets, client or vendor lists, client information, customer lists, and customer information (including but not limited to the identity, address, and contact information of customers), contracts, agreements, accounting or financial information, pricing information, business plans and data, formulae, technical know-how, processes, methods, techniques, procedures, software, databases, marketing strategies and data, pending projects and proposals, programs, designs, drawings, diagrams, test data, research and other such information of a confidential nature regardless of whether furnished before or after the date of execution of this Agreement, whether oral or written, and regardless of the form of communication or the manner in which it is furnished and all analyses, compilations, data, studies, notes, interpretations, memoranda, extracts, or other documents prepared by Instacart containing or based in whole or in part on any such furnished information. You specifically agree that all Confidential Information shall be treated as confidential without regard to whether any specific item of information or material has been labeled "Confidential," "Secret," or "Trade Secret," or any similar designation. Confidential Information does not include, however, information that you can show by documentary evidence: (i) is or has become generally available to the public through no wrongful act of your own; or (ii) has been independently acquired or developed by you without violating any of your obligations under any agreement with Instacart, any agreement with a third party, or applicable law.

8.2 You: (i) will hold and maintain all Confidential Information in the strictest confidence; (ii) agree not to copy, reproduce, or create derivative works relating in any way to Instacart’s technology platform, including its Shopper App; (iii) except as reasonably necessary to perform the Services or as authorized in writing by Instacart, will not at any time, whether during or subsequent to the term of this Agreement, in any fashion, form or manner, either directly or indirectly, use, divulge, disclose, or communicate any Confidential Information to any person, firm, corporation, or entity in any manner whatsoever; and (iv) shall require, and ensure that its directors, officers, employees, agents, and permitted subcontractors who may receive Confidential Information maintain the same in strict confidence and not use or disclose the information except as permitted under this Agreement. You further agree specifically that you will keep secret from any person or entity all Confidential Information learned, transmitted, or otherwise obtained by you, including but not limited to Confidential Information about Instacart and its operations. You acknowledge that further customer-specific compliance requirements may be applicable and enforceable against you. Except for the purpose of providing the Services, at no time will you turn over your username for or password to the Shopper App to any third party.

8.3 You agree that all drawings, memorandums, invoices, diaries, project books, notebooks, sketches, reports, manuals, computer programs, computer files, screenshots, and any other materials in any manner and in any medium affecting, recording, or relating to Instacart’s Confidential Information shall at all times be and remain Instacart’s sole property, and shall not be removed from Instacart’s premises under any circumstances whatsoever without Instacart’s prior written consent, except when (and only for the period) necessary to carry out the Services hereunder, and if removed shall be immediately returned to Instacart upon termination of this Agreement, and no copies shall be kept by you. Upon Instacart's request, you will provide a truthful declaration to Instacart certifying that all Confidential Information and all copies thereof have been delivered to Instacart, and deleted from your computers, laptops, telephones, or other electronic or recording device.

8.4 If you are required by applicable law or regulation or by legal process to disclose any Confidential Information, you will immediately notify Instacart in writing prior to making any such disclosure and assist Instacart in seeking a protective order or other appropriate remedy. You further agree that if Instacart is not successful in precluding the requesting legal body from reviewing the Confidential Information, you will furnish only that portion of the Confidential Information that is legally required and will exercise your best efforts to obtain reliable assurances that confidential treatment will be accorded the Confidential Information.

8.5 The restrictions placed upon you in this Section will survive the termination of this Agreement and continue in perpetuity. You agree that any breach of any term of this Section is a material breach of this Agreement.

8.6 You acknowledge that Instacart protects information of its Contractors as set forth in its Shopper and Prospective Shopper Privacy Policy-Canada ( https://www.instacart.ca/shoppers-privacy ) which you acknowledge you have had the opportunity to review. You agree to the collection, use and disclosure of any personal information about you in accordance with applicable laws. }

9. MUTUAL AGREEMENT TO ARBITRATE DISPUTES (“ARBITRATION PROVISION”)

9.1 Intent to Arbitrate. You and Instacart agree to first attempt to resolve any disputes or claims amicably by providing 30 days written notice prior to filing any such dispute or claim. If the dispute or claim is not resolved amicably, and except as otherwise provided in this Arbitration Provision, you and Instacart agree that to the fullest extent permitted by law, ANY AND ALL DISPUTES OR CLAIMS BETWEEN YOU AND INSTACART shall be exclusively resolved by final and binding arbitration by a neutral arbitrator, including without limitation any and all disputes or claims BETWEEN YOU AND INSTACART, whether in contract, tort, or otherwise, relating to the formation (including unconscionability and invalidity), existence, breach, termination, interpretation, enforcement, validity, scope, and applicability of the Agreement, or the Services agreed to herein, or any claim on any basis under federal, state, or local law, which could otherwise be heard before any court of competent jurisdiction. By signing this Agreement, and unless otherwise stated in this Arbitration Provision, you and Instacart hereby waive their right to have any dispute, claim, or controversy decided by a judge or jury in a court. You and Instacart anticipate that by entering into this Arbitration Provision, they will gain the benefits of a speedy and less expensive dispute resolution procedure. This Arbitration Provision shall encompass all disputes and claims that Instacart may have against you, or that you may have against Instacart and/or any of its officers, directors, employees, owners, agents, representatives, benefit plans, sponsors, fiduciaries, parents, subsidiaries, or affiliated entities (each of which may enforce this Arbitration Provision as a third-party beneficiary) arising out of or relating to this Agreement, or the Services performed by you. Subject to the limitations set forth in Section 9.5, you and Instacart agree that the third-party retailers at or in whose premises the Services under this Agreement may be performed, as well as any consumer reporting agency responsible for providing background check services of you, are intended third party beneficiaries of this Arbitration Provision. For additional clarity, by signing this Agreement, you and Instacart hereby expressly waive, to the extent permitted by applicable law, their right to have any dispute or claim resolved by a court unless specifically set out herein.

9.2 Delegation. Except as this Arbitration Provision otherwise provides, the arbitrability of any dispute between you and Instacart, including whether or to what extent all or part of this Arbitration Provision is invalid, unconscionable, or otherwise unenforceable, and whether a dispute, claim, or controversy is subject to arbitration, is a decision that will be submitted exclusively to the arbitrator, and will not be decided by any federal or provincial court. You and Instacart intend this delegation clause to be clear and unmistakable evidence of your and Instacart’s agreement to delegate these issues to the arbitrator, subject to the exceptions stated in the Sections 9.3 and 9.4, which set forth that this delegation clause shall not apply to the Waiver of Class Action Claims and Waiver of Representative Proceedings.

9.3 Waiver of Class Action Claims. By signing this Agreement, Instacart and you agree that each may bring and pursue claims against the other only in their individual capacities, and may not bring, pursue or act as a plaintiff, class representative, or class member in any purported class or collective proceeding or action other than on an individual basis except to the extent that this provision is unenforceable as a matter of law. Notwithstanding any other provision of this Arbitration Provision or the applicable arbitration rules: (1) Any claim that all or part of this Waiver of Class Action Claims is unenforceable, unconscionable, void, or voidable shall be determined only by a court of competent jurisdiction and not by an arbitrator; and (2) If the waiver set forth in this Section is found to be unenforceable, any class or collective action claims will be litigated in a court of competent jurisdiction and not as a class or collective arbitration.

9.4 Waiver of Representative Proceedings. By signing this Agreement, you and Instacart agree that, to the extent permitted by applicable law, any and all dispute resolution proceedings will be conducted only on an individual basis and not in a collective, consolidated, or on the basis of a joinder of proceedings. Notwithstanding any other provision of this Agreement or the applicable arbitration: (1) Any claim that all or part of this Waiver of Representative Proceedings is unenforceable, unconscionable, void, or voidable shall be determined only by a court of competent jurisdiction and not by an arbitrator; and (2) If the waiver set forth in this Section is found to be unenforceable, to the extent permitted by applicable law, the Parties hereby further agree that any such court proceeding will also be conducted only on an individual basis and not in a class, representative, collective, consolidated, or on the basis of a joinder of proceedings.

9.5 Claims Not Covered. This Arbitration Provision does not apply to litigation between you (as a party or class member) and Instacart pending in a provincial or federal court or arbitration as of the date of your receipt of this Agreement. Claims not covered by this Agreement are those claims that as a matter of controlling law cannot be arbitrated. Nothing in this Agreement prohibits you from exercising rights protected under applicable employment or labour standards legislation. Nothing in this Agreement prevents the investigation by a government agency of any report, claim or charge otherwise covered by this Arbitration Provision. Disputes or claims between Instacart and any third-party beneficiaries are not covered by the terms of this Arbitration Provision.

9.6 Arbitration Procedures and Location. By signing this Agreement, the Parties further agree that any arbitration shall be conducted and resolved before a sole arbitrator selected in accordance with the Simplified Rules of the ADR Institute of Canada, Inc. The Parties agree that the arbitration shall proceed under the Simplified Rules of the ADR Institute of Canada, Inc., with the Parties first attempting to select the arbitrator from a panel of arbitrator names provided by the ADR Institute of Canada, Inc., and if that is not successful, then the ADR Institute of Canada, Inc. will follow the Simplified Rules for the arbitrator’s selection. The arbitration will be held: (i) in the province where the Contractor is performing Services and in the city that is geographically closest to where the Contractor resides in the province that has a population greater than 100,000 people. In the event that there is no such city in the province, the arbitration will be held (ii) in such location as the Parties may mutually agree to, or (iii) in the absence of such agreement, in the provincial capital. The language of the arbitration will be English except in QuĂ©bec where the language of the arbitration will be English and/or French as the Parties may mutually agree.

9.7 Arbitration Costs, Lawyers’ Fees, and Costs. The arbitrator shall have the power to award and apportion the arbitration costs (including the arbitrator’s fees and expenses) in accordance with the Simplified Rules of the ADR Institute of Canada, Inc. You and Instacart shall follow the Simplified Rules of the ADR Institute of Canada, Inc. applicable to initial filing fees, but in no event will you be responsible for any portion of those fees in excess of the filing or initial appearance fees applicable to court actions in the jurisdiction where the arbitration will be conducted. After you pay your portion of any initial filing fee, Instacart shall pay any remaining portion of the initial fee and will also pay all costs and expenses unique to arbitration, including, without limitation, the arbitrator’s fees and any ADR Institute of Canada Inc.’s arbitration administrative expenses. Payment of all filing, administration, and arbitrator fees (collectively, “arbitration fees”) will be governed by the Simplified Rules of the ADR Institute of Canada, Inc. and the laws of the jurisdiction in which you performed Services. In all cases required by law, Instacart will pay the full amount of the arbitration fees. Any disputes in that regard will be resolved by the arbitrator as soon as practicable after the arbitrator is selected, and Instacart shall bear all of the arbitration fees until such time as the arbitrator resolves any such dispute. You may be represented by counsel during any arbitration proceeding. Each party shall pay its own costs and lawyers’ fees, subject to the arbitrator’s ability, described in Section 9.8, to award costs and legal fees to the extent such a remedy would have been available to the Parties had the matter been heard in a court.

9.8 Awards. The arbitrator is authorized to award only those remedies or relief available under applicable law, including any remedy or relief that would have been available to the Parties had the matter been heard in a court, except that this Section does not encompass, permit, or authorize any remedy or relief awarded on a class-wide, collective or representative basis. The decision of the arbitrator shall be in writing and shall provide the findings of fact and conclusions of law supporting the award unless you and Instacart agree otherwise. You or Instacart may apply to a court of competent jurisdiction for temporary or preliminary injunctive relief in connection with an arbitrable controversy in accordance with applicable law, and any such application shall not be deemed incompatible with or waiver of this agreement to arbitrate. The court to which the application is made is authorized to consider the merits of the arbitrable controversy to the extent it deems necessary in making its ruling, but only to the extent permitted by applicable law. All determinations of final relief, however, will be decided in arbitration.

9.9 (a) Opt-Out for Arbitration Provision. You have 30 calendar days from the date you sign this Agreement to opt-out of the Arbitration Provision. However, opting-out of this Arbitration Provision does not affect any other part of this Agreement. If you opt-out of the Arbitration Provision, then neither you nor Instacart will be bound by the terms of this Arbitration Provision. Should you not opt-out in accordance with this Section within the 30 day period, then this Arbitration Provision will become fully effective and binding as of the date the Agreement is executed by you. If you agreed to a previous arbitration agreement with Instacart and opt out of this Arbitration Provision, you remain bound by that prior arbitration agreement and must arbitrate any and all claims or disputes covered by that prior arbitration agreement, regardless of whether those claims or disputes arise after the date you execute this Agreement.

(b) To opt-out, within 30 days from the date you sign this Agreement, you must notify Instacart in writing of your intent to opt-out of the Arbitration Provision by providing your first and last name and a clear statement of your intent to opt-out such as “I wish to opt-out of the Arbitration Provision” or words to that effect. The written intent to opt-out must be provided either by: (1) sending electronic mail to [email protected]; or (2) by sending a letter by Canada Post, or by any nationally recognized delivery service (e.g. Federal Express, UPS), or delivered by hand to:

(c) In order to be effective, the letter under option (2) must be dated and signed and the envelope containing the signed letter must be received (if delivered by hand) or post-marked within 30 days of the date you sign this Agreement. Your written intent to opt-out of the Arbitration Provision, whether sent by (1) or (2), will be maintained by Instacart, and you are encouraged to retain a copy for your records.

10. NOTICES

Except as explicitly provided in Section 9.9, any notices to Instacart shall be given by certified mail, postage prepaid and return receipt requested to:

Such notice shall be deemed given five days after the date of mailing. Any notices to you shall be provided through the Shopper App or given via the email address you provided to Instacart, and such notice shall be deemed given immediately upon sending. Alternatively, Instacart may provide you notice by certified mail to the address provided by you to Instacart. In such case, notice shall be deemed given five days after the date of mailing.

11. SUCCESSORS AND ASSIGNS

This Agreement is intended to bind and inure to the benefit of and be enforceable by Instacart, you, and our respective heirs, successors and assigns, except that you may not assign your rights or delegate your duties or obligations hereunder (including, without limitation, pursuant to any subcontract) without the prior written consent of Instacart. This should not be construed as precluding you from hiring individuals to assist in the provision of Services.

12. SEVERABILITY

Except as explicitly set forth in Section 9.3 and 9.4, in the event that any provision of this Agreement is held to be illegal, invalid, void, null, or unenforceable, the remainder of the Agreement shall remain in full force and effect. In cases where some claims are arbitrable under the Arbitration Provision but other claims are not arbitrable, the claims that are not arbitrable shall be stayed in a court of competent jurisdiction pending the outcome of the arbitration of the arbitrable claims.

13. MODIFICATION AND WAIVER

13.1 The Agreement can only be revoked or modified in writing signed by both Parties that specifically states an intent to revoke or modify this Agreement. This Agreement shall constitute the entire agreement and understanding between the Parties with respect to the subject matter of this Agreement and, unless as permitted herein, shall not be modified, altered, changed, or amended in any respect, unless in writing and signed by both Parties. Before accepting any modifications, alterations, changes, or amendments, you shall have the right to discuss any proposed changes with Instacart and consider whether to continue your contractual relationship with Instacart. Unless otherwise stated in this Agreement, THIS AGREEMENT SUPERSEDES ALL PRIOR AGREEMENTS. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE OR ACCESS THE INSTACART PLATFORM. No waiver by any Party to this Agreement of any provision hereof shall be deemed to be a waiver of any other provision of this Agreement, or of any subsequent breach of such provision, or a waiver of any other provision of this Agreement by any other.

13.2 Instacart also reserves the right to modify any information referenced in the hyperlinks included in this Agreement from time to time in its reasonable and good faith business judgment. Any such modifications shall become effective upon posting. Continued use of the Instacart Platform or performance of Services after any such changes are posted shall constitute your consent to such changes. Unless material changes are made to the Arbitration Provision herein, you agree that modification of this Agreement and/or the hyperlinks included in this Agreement does not create a renewed opportunity to opt-out of arbitration (if applicable). As set forth in Section 9.10, a renewed opportunity to opt-out of the arbitration will not relieve you of any prior and/or other arbitration agreement(s) with Instacart to which you may be bound.

14. VOLUNTARY

By executing this Agreement, the Parties represent that they have been given the opportunity to fully review, comprehend, and negotiate the terms of this Agreement. The Parties understand the terms of this Agreement and freely and voluntarily sign this Agreement. If you have any questions about this Agreement, you may wish to consult legal counsel and are free to do so.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the law of the Province of Ontario and the federal laws of Canada applicable therein. For Contractors located in the Province of Quebec, this Agreement shall be governed by the laws of Canada and the Province of Quebec and the federal laws of Canada applicable therein. The language in all parts of this Agreement shall in all cases be construed according to its fair meaning and not strictly for or against either Party.

16. ENTIRE AGREEMENT

Except to the extent that you opt-out of the Arbitration Provision in this Agreement and are bound by previous and/or other arbitration agreement(s) with Instacart, this Agreement supersedes any and all other agreements between you and Instacart, whether oral or in writing, and contains all of the covenants and agreements between you and Instacart with respect to your Services. You and Instacart each acknowledge that no representations, inducements, promises, or agreements, originally or otherwise, have been made to either Party to the other, or by anyone acting on behalf of either Party, which are not embodied herein.

17. EFFECTIVE DATE

The Effective Date of this Agreement is the date upon which you sign.

18. LANGUAGE (APPLICABLE TO CONTRACTORS IN QUEBEC ONLY)

The Parties to this Agreement acknowledge that they have expressly required that this Agreement and any related documents or notices be drawn-up exclusively in the English language. Les parties aux présentes ont expressément exigé que la présente entente ainsi que tout document ou avis y afférent soient rédigés uniquement en langue anglaise.

1. LA PLATEFORME INSTACART

1.1 Instacart est une sociĂ©tĂ© de technologie qui offre une plateforme de communications et de logistique permettant de jumeler des consommateurs qui souhaitent obtenir des services d’achats personnels et/ou de livraison auprĂšs de dĂ©taillants de leur secteur Ă  des fournisseurs tiers qui souhaitent leur fournir ces services (la « Plateforme Instacart »).

1.2 Vous ĂȘtes un fournisseur indĂ©pendant de services d’achats personnels et/ou de livraison. Puisque la Plateforme Instacart n’est pas offerte aux enfants (c.-Ă -d. aux personnes de moins de 18 ans), vous dĂ©clarez et garantissez que vous, en qualitĂ© de particulier et/ou de propriĂ©taire unique ou en qualitĂ© de propriĂ©taire individuel d’une personne morale, ĂȘtes ĂągĂ© d’au moins 18 ans et avez le droit, l’autorisation et la capacitĂ© de conclure le prĂ©sent Contrat et d’en respecter les modalitĂ©s. Vous ĂȘtes en possession lĂ©gitime de l’ensemble de l’équipement, des assurances, des licences et des permis nĂ©cessaires pour fournir les services d’achats et/ou de livraison prĂ©vus par le prĂ©sent Contrat conformĂ©ment Ă  toutes les lois applicables. Vous souhaitez conclure le prĂ©sent Contrat afin d’utiliser la Plateforme Instacart pour profiter de possibilitĂ©s commerciales de fournir des services d’achats personnels et de livraison Ă  des consommateurs.

1.3 Instacart modifie et amĂ©liore constamment la Plateforme Instacart. Instacart peut ajouter de nouvelles fonctionnalitĂ©s, modifier des fonctionnalitĂ©s existantes ou Ă©liminer des fonctionnalitĂ©s de la Plateforme Instacart Ă  tout moment sans prĂ©avis, sous rĂ©serve des modalitĂ©s du prĂ©sent Contrat. Si vous communiquez Ă  Instacart des commentaires au sujet de la Plateforme Instacart ou de votre prestation de Services aux termes du prĂ©sent Contrat, vous accordez Ă  Instacart le droit d’utiliser ces commentaires Ă  toute fin sans restriction ni paiement.

1.4 Les Parties s’engagent Ă  agir conformĂ©ment aux modalitĂ©s du prĂ©sent Contrat.

2. SERVICES DE L’ENTREPRENEUR

2.1 À l’occasion, Instacart peut vous informer d’une possibilitĂ© de fournir des services d’achats personnels et/ou de livraison par l’intermĂ©diaire de la Plateforme Instacart pour le compte de consommateurs (une « PossibilitĂ© de livraison »). Si vous acceptez une PossibilitĂ© de livraison, vous vous engagez Ă  utiliser la Plateforme Instacart pour rĂ©cupĂ©rer les articles demandĂ©s au magasin sĂ©lectionnĂ© par le client et Ă  les livrer d’une maniĂšre sĂ»re et en temps opportun en respectant la fenĂȘtre de livraison demandĂ©e par le client (les « Services »).

2.2 Vous reconnaissez que, comme condition prĂ©alable Ă  la prestation des Services, en qualitĂ© de particulier et/ou de propriĂ©taire unique ou en qualitĂ© de propriĂ©taire individuel d’une personne morale, vous devez consentir Ă  des vĂ©rifications de vos antĂ©cĂ©dents, et que votre accĂšs continu Ă  la Plateforme Instacart est conditionnel aux rĂ©sultats satisfaisants des vĂ©rifications des antĂ©cĂ©dents et par ailleurs au respect des modalitĂ©s du prĂ©sent Contrat (et de tout document intĂ©grĂ© par renvoi dans celui-ci). Une fois que vous avez obtenu l’accĂšs Ă  la Plateforme Instacart, Instacart peut procĂ©der Ă  des vĂ©rifications supplĂ©mentaires de vos antĂ©cĂ©dents, conformĂ©ment aux lois applicables, par l’intermĂ©diaire de son fournisseur de services de vĂ©rification des antĂ©cĂ©dents. Instacart vous remettra un nom d’utilisateur et un mot de passe vous permettant d’accĂ©der Ă  la Plateforme Instacart pour fournir les Services. Vous convenez que vous seul utiliserez le nom d’utilisateur et le mot de passe, puisque vous ĂȘtes le seul utilisateur autorisĂ©. Aucune disposition du prĂ©sent Contrat ne saurait ĂȘtre interprĂ©tĂ©e comme vous interdisant d’engager du personnel pour qu’il vous aide Ă  fournir les Services, comme il est prĂ©cisĂ© Ă  l’article 4 ci-aprĂšs.

2.3 Vous reconnaissez qu’Instacart n’impose pas de quantitĂ© minimum ou maximum de Services que vous devez fournir. De plus, vous n’avez aucunement l’obligation d’accepter une PossibilitĂ© de livraison qui vous est offerte. Vous ĂȘtes libre d’accepter ou de refuser toute PossibilitĂ© de livraison, Ă  votre grĂ© et selon votre apprĂ©ciation commerciale. Si toutefois vous acceptez une PossibilitĂ© de livraison, vous avez l’obligation contractuelle d’y donner suite. Vous acceptez par ailleurs la responsabilitĂ© de tous les dommages rĂ©sultant de votre omission ou de l’omission de votre Personnel de finaliser une PossibilitĂ© de livraison conformĂ©ment aux modalitĂ©s Ă©noncĂ©es dans le prĂ©sent Contrat.

2.4 Vous convenez qu’il n’y a pas de nombre minimum ou maximum de PossibilitĂ©s de livraison qui vous seront offertes par Instacart. Vous convenez Ă©galement qu’Instacart ne dĂ©cide pas du moment de la prestation des Services.

2.5 Si Instacart souhaite retenir vos services Ă  la place ou en plus des Services, et si vous acceptez cette autre prestation, vous et Instacart conviendrez des modalitĂ©s et conditions spĂ©cifiques s’y appliquant. Toutefois, ces modalitĂ©s et conditions rĂ©giront uniquement cette autre prestation et ne modifieront pas les modalitĂ©s et conditions rĂ©gissant les Services comme il est prĂ©vu dans le prĂ©sent Contrat. Les diffĂ©rends ou les rĂ©clamations dĂ©coulant de l’exĂ©cution de cette autre prestation ou s’y rapportant sont rĂ©gis par la Disposition d’arbitrage (y compris l’option de retrait) prĂ©vue Ă  l’article 9 du prĂ©sent Contrat.

2.6 Les Parties reconnaissent que la durée du présent Contrat ne représente pas une entente de service ininterrompue. Chaque Possibilité de livraison que vous acceptez est traitée comme une entente contractuelle distincte, sans obligation continue de fournir des Services. Aucun Service ne sera fourni sans le consentement mutuel des Parties.

3. TAUX ET PAIEMENT

3.1 Instacart s’engage Ă  vous payer pour les Services dans les 30 jours suivant leur prestation. Instacart se rĂ©serve le droit de modifier les taux des composantes des paiements Ă  tout moment, auquel cas elle vous remettra un avis des modifications avant que vous n’acceptiez une PossibilitĂ© de livraison par l’intermĂ©diaire de son Application. Instacart ne verse pas de revenus sous forme de salaire ou de taux horaire.

3.2 Lorsqu’une PossibilitĂ© de livraison comprend Ă  la fois des services d’achats personnels et des services de livraison, vous recevrez un paiement pour chaque livraison, qui sera Ă©tabli en fonction de facteurs tels que le poids des articles, le nombre et le type d’articles, la distance et le temps estimatifs et toute mesure incitative applicable. Les composantes des paiements sont indiquĂ©es dans l’Application, et vous pouvez examiner les paiements estimatifs applicables avant d’accepter ou de refuser une PossibilitĂ© de livraison.

3.3 Lorsqu’une PossibilitĂ© de livraison comporte des services de livraison seulement, vous recevrez un paiement pour chaque livraison. Les composantes des paiements sont indiquĂ©es dans l’Application, et vous pouvez examiner les paiements estimatifs applicables avant d’accepter ou de refuser une PossibilitĂ© de livraison.

3.4 Vous comprenez et convenez que si vous n’ĂȘtes pas satisfaits du paiement reçu pour une PossibilitĂ© de livraison donnĂ©e, vous pouvez nĂ©gocier une majoration du paiement avec Instacart en communiquant avec le Soutien communautaire. Instacart examinera votre demande de bonne foi, mais elle n’a pas l’obligation de vous remettre un paiement en sus de ce qui est indiquĂ© dans l’Application.

3.5 Comme condition Ă  la rĂ©ception d’un paiement, vous acceptez de fournir Ă  Instacart votre numĂ©ro d’assurance sociale et l’autorisation d’effectuer les vĂ©rifications des antĂ©cĂ©dents requises. Vous ĂȘtes responsable de tous les coĂ»ts et frais engagĂ©s ou nĂ©cessaires aux fins de la prestation des Services, y compris les frais de tĂ©lĂ©phone, de stationnement, d’automobile, d’assurance et de dĂ©placement.

3.6 Instacart vous paie toutes les taxes sur les produits et services, les taxes de vente harmonisĂ©es, les taxes de vente provinciales, les taxes sur la valeur ajoutĂ©e et les autres taxes semblables applicables (collectivement, la « TPS/TVH ») en plus des paiements prĂ©vus aux prĂ©sentes, Ă  condition que vous soyez valablement inscrits Ă  la TPS/TVH. Si vous ĂȘtes inscrit Ă  la TPS/TVH en vertu de la partie IX de la Loi sur la taxe d’accise (Canada) ou d’une loi fiscale provinciale semblable, ou si vous devenez inscrit Ă  la TPS/TVH Ă  tout moment pendant la durĂ©e du prĂ©sent Contrat, vous devez fournir Ă  Instacart vos numĂ©ros d’inscription Ă  la TPS/TVH sur la Plateforme Instacart. Instacart prendra des mesures raisonnables pour valider les numĂ©ros de TPS/TVH que vous avez fournis et pourrait ne vous faire aucun paiement de TPS/TVH tant qu’elle n’a pas la certitude que les numĂ©ros de TPS/TVH que vous avez fournis sont valides au moment pertinent. Si Instacart retient des paiements de TPS/TVH qui vous sont dus pendant ce processus de validation, ces paiements vous seront transmis aux fins de remise au gouvernement une fois qu’Instacart aura la certitude que votre inscription Ă  la TPS/TVH est valide au moment pertinent. Instacart n’assume aucune responsabilitĂ© Ă  l’égard des montants de TPS/TVH, des pĂ©nalitĂ©s, des intĂ©rĂȘts ou des autres montants qui pourraient vous ĂȘtre imputĂ©s en raison de votre omission de fournir un numĂ©ro de TPS/TVH valide Ă  Instacart.

3.7 Vous pouvez demander à Instacart de recevoir vos paiements en votre nom personnel ou en votre qualité de propriétaire unique, de commerce ou de personne morale.

4. VOTRE PERSONNEL

4.1 Sous rĂ©serve du respect du prĂ©sent Contrat, il vous revient Ă  vous seul de dĂ©cider si vous engagez des sous-traitants ou avez recours Ă  des employĂ©s, Ă  des assistants ou Ă  des auxiliaires (collectivement, le « Personnel ») pour qu’ils vous aident Ă  fournir les Services, et vous assumerez l’entiĂšre responsabilitĂ© de la direction et de l’encadrement de votre Personnel. MalgrĂ© ce qui prĂ©cĂšde, vous demeurez responsable de la prestation des Services par votre Personnel, et le fait d’engager du Personnel ne vous libĂšre pas de vos obligations aux termes du prĂ©sent Contrat.

4.2 Vous exigerez que tout le Personnel qui fournit les Services aux termes des prĂ©sentes respecte les conditions d’admissibilitĂ© Ă©noncĂ©es aux articles 1 et 2 ci-dessus. Vous reconnaissez que, comme condition prĂ©alable Ă  la prestation des Services, votre Personnel devra consentir Ă  des vĂ©rifications des antĂ©cĂ©dents, et que l’accĂšs continu Ă  la Plateforme Instacart est conditionnel aux rĂ©sultats satisfaisants des vĂ©rifications des antĂ©cĂ©dents et par ailleurs au respect des modalitĂ©s du prĂ©sent Contrat (et de tout document intĂ©grĂ© par renvoi dans celui-ci). Avant de permettre Ă  du Personnel de fournir les Services, vous vous engagez Ă  mettre Ă  la disposition d’Instacart vos registres dĂ©montrant le respect des exigences susmentionnĂ©es aux fins de vĂ©rification. Le droit de vĂ©rification d’Instacart prĂ©vu aux prĂ©sentes ne rĂ©duit en aucun cas votre obligation de veiller Ă  ce que votre Personnel respecte les exigences du prĂ©sent Contrat.

4.3 Chaque membre du Personnel que vous engagez pour qu’il vous aide Ă  fournir les Services devra accĂ©der Ă  la Plateforme Instacart au moyen d’un nom d’utilisateur et d’un mot de passe distinct.

4.4 Le paiement Ă  l’égard des PossibilitĂ©s de livraison que votre Personnel accepte sera effectuĂ© Ă  votre Personnel. Le paiement Ă  l’égard des PossibilitĂ©s de livraison que vous acceptez et pour lesquelles les services sont fournis par votre Personnel vous sera effectuĂ©. Vous assumez l’entiĂšre responsabilitĂ© du paiement de la rĂ©munĂ©ration, des avantages et/ou des frais payables Ă  votre Personne (lesquels seront Ă©tablis Ă  votre seule apprĂ©ciation) et de tout paiement qui vous est dĂ» par votre Personnel ainsi que de la dĂ©claration, de la retenue et de la remise des cotisations sociales fĂ©dĂ©rales et provinciales ordinaires, y compris l’impĂŽt sur le revenu, les cotisations d’assurance-emploi et les cotisations au RĂ©gime de pensions du Canada, liĂ©es Ă  votre Personnel, et Instacart n’assume aucune responsabilitĂ© Ă  cet Ă©gard. Sauf exigence contraire de la loi, Instacart n’aura aucune obligation de retenue Ă  l’égard de la rĂ©munĂ©ration de votre Personnel.

4.5 Comme condition Ă  la prestation des Services aux termes des prĂ©sentes, tout membre du Personnel qui fournit les Services doit signer une attestation distincte dans laquelle il dĂ©clare, garantit et convient qu’il respectera le prĂ©sent Contrat. Vous vous engagez Ă  fournir une copie de cette attestation et/ou du contrat intervenu entre vous et votre Personnel Ă  Instacart aux fins de vĂ©rification.

4.6 Comme il est prĂ©cisĂ© Ă  l’article 7 ci-aprĂšs, vous vous engagez Ă  indemniser Instacart et ses dirigeants, administrateurs, actionnaires, employĂ©s et mandataires ainsi que leurs successeurs, ayants cause ou ayants droit, Ă  les dĂ©gager de toute responsabilitĂ© et Ă  assurer leur dĂ©fense Ă  l’égard de l’ensemble des rĂ©clamations, demandes, pertes, coĂ»ts, frais, obligations, responsabilitĂ©s, dommages, dommages-intĂ©rĂȘts, recouvrements et insuffisances, y compris les intĂ©rĂȘts, les pĂ©nalitĂ©s et les honoraires et frais juridiques raisonnables, que votre Personnel peut faire valoir contre Instacart et qui rĂ©sultent de la prestation des Services par vous ou par votre Personnel ou de votre relation avec votre Personnel ou qui y sont liĂ©s, y compris les rĂ©clamations pour salaires, avantages et/ou frais impayĂ©s, que ce soit en vertu de lois fĂ©dĂ©rales, provinciales ou locales.

5. RÉSILIATION DU CONTRAT

5.1 Vous pouvez rĂ©silier le prĂ©sent Contrat Ă  tout moment en remettant un avis Ă©crit (y compris par courriel) Ă  Instacart. Si votre rĂ©siliation du prĂ©sent Contrat fait en sorte que vous omettez de finaliser une PossibilitĂ© de livraison acceptĂ©e conformĂ©ment aux modalitĂ©s du prĂ©sent Contrat, vous vous exposez Ă  une responsabilitĂ© Ă  l’égard des dommages ou des dommages-intĂ©rĂȘts qui pourraient en rĂ©sulter.

5.2 Instacart peut rĂ©silier le prĂ©sent Contrat avec prise d’effet immĂ©diate, en vous remettant un avis Ă©crit (y compris par courriel), dans l’éventualitĂ© oĂč vous commettez une violation importante des modalitĂ©s du prĂ©sent Contrat, notamment un acte qui contrevient aux lignes directrices relatives Ă  l’accĂšs aux comptes pour les acheteurs Ă  service complet d’Instacart (Full Service Shopper Account Access Guidelines, au https://shoppers.instacart.com/guidelines), par exemple si :

A. vous compromettez la sécurité;

B. vous violez des lois locales, provinciales ou fédérales ou des lignes directrices applicables;

4.1 You may terminate this Agreement at any time upon written (including email) notice to Instacart. Instacart may immediately terminate this Agreement, upon written (including email) notice to you in the event you engage in a material breach of the terms of this Agreement, including, but not limited to, any act that violates Instacart’s Full Service Shopper Account Access Guidelines (https://goo.gl/FRzPJa) which are hereby incorporated by reference, such as when you:

A. Cause a safety issue;

B. Violate applicable local, provincial, or federal laws or applicable guidance;

C. vous ne respectez pas les normes de service acceptables concernant le résultat final des Services spécifiées par le client;

D. vous ne respectez pas les délais de livraison ou ne livrez pas des commandes complÚtes de façon répétée;

E. vous échouez aux vérifications des antécédents aprÚs la signature du présent Contrat;

F. vous portez atteinte à la vie privée des clients;

G. vous vous livrez Ă  une conduite frauduleuse ou encouragez une telle conduite;

H. vous utilisez ou communiquez par ailleurs des renseignements confidentiels d’une maniĂšre inappropriĂ©e ou vous reproduisez la Plateforme Instacart ou crĂ©ez des Ɠuvres dĂ©rivĂ©es Ă  partir de celle-ci en violation de l’article 8 du prĂ©sent Contrat;

I. vous invalidez le présent Contrat par une signature illégitime.

5.3 Instacart se rĂ©serve le droit de modifier les modalitĂ©s des lignes directrices relatives Ă  l’accĂšs aux comptes pour les acheteurs Ă  service complet Ă  l’occasion lorsqu’elle le juge nĂ©cessaire, selon son apprĂ©ciation commerciale raisonnable et de bonne foi, pour assurer l’exploitation sĂ©curitaire et fiable de la Plateforme Instacart. De telles modifications entrent en vigueur au moment de leur affichage sur la Plateforme Instacart, par l’intermĂ©diaire du site Web d’Instacart ou de l’Application. Votre utilisation continue de la Plateforme Instacart ou votre prestation de Services aprĂšs l’affichage de telles modifications constitue votre consentement Ă  celles-ci.

5.4 MalgrĂ© toute disposition contraire, Instacart peut cesser de donner accĂšs Ă  la Plateforme Instacart, Ă  des services ou Ă  des fonctionnalitĂ©s, Ă  vous ou aux utilisateurs de la Plateforme Instacart de façon gĂ©nĂ©rale, si elle le juge nĂ©cessaire, selon son apprĂ©ciation commerciale raisonnable et de bonne foi, pour assurer l’exploitation sĂ©curitaire et fiable de la Plateforme Instacart. De plus, les Parties conviennent que le Contrat est rĂ©siliĂ© sans qu’il soit nĂ©cessaire de remettre un avis Ă©crit si vous ne fournissez aucun Service aux termes du Contrat dans un dĂ©lai de 45 jours consĂ©cutifs suivant la signature de celui-ci ou si, aprĂšs avoir commencĂ© Ă  fournir des Services, vous ne fournissez aucun Service pendant 75 jours consĂ©cutifs. Vous comprenez qu’à la suite de la rĂ©siliation du Contrat, la prĂ©sentation d’un nouveau contrat n’est pas garantie.

6. RELATION DES PARTIES

6.1 Vous concluez le prĂ©sent Contrat Ă  titre d’entrepreneur indĂ©pendant dans le cadre d’une relation d’affaires entre vous et Instacart. Vous reconnaissez et convenez que vous exploitez une entreprise distincte d’Instacart, et que vous et Instacart ĂȘtes tous deux capables d’exploiter votre entreprise respective l’un sans l’autre. Il est entendu que, en acceptant de fournir des Services aux termes du prĂ©sent Contrat, l’Entrepreneur agit en tout temps Ă  titre d’entrepreneur indĂ©pendant et non Ă  titre d’employĂ© d’Instacart Ă  quelque fin que ce soit, notamment aux fins des taxes, des impĂŽts, des paiements exigĂ©s par la loi ou des autres retenues ou versements Ă  des autoritĂ©s ou organismes gouvernementaux. Vous ne devez en aucun cas considĂ©rer Instacart comme votre employeur, votre partenaire, votre coentrepreneur, votre mandataire ou votre mandant, et le prĂ©sent Contrat ne doit pas ĂȘtre interprĂ©tĂ© comme crĂ©ant une telle relation. VOUS N’AVEZ DROIT À AUCUN DES AVANTAGES SOCIAUX ACCORDÉS AUX EMPLOYÉS D’INSTACART, QU’IL S’AGISSE D’INDEMNITÉ POUR ACCIDENT DU TRAVAIL, D’ASSURANCE INVALIDITÉ, D’INDEMNITÉ DE DÉPART, D’ASSURANCE-MALADIE, D’INDEMNITÉ DE CONGÉS PAYÉS OU D’INDEMNITÉ DE MALADIE. Vous reconnaissez par ailleurs que le prĂ©sent Contrat n’a pas pour effet de crĂ©er une relation d’emploi entre un dĂ©taillant tiers et vous-mĂȘme et que vous n’avez pas droit aux avantages offerts aux employĂ©s d’un dĂ©taillant tiers, y compris l’assurance contre les accidents du travail.

6.2 Instacart ne s’intĂ©resse qu’aux rĂ©sultats que vous obtenez aux termes du prĂ©sent Contrat. Il vous incombe entiĂšrement de dĂ©terminer la façon dont vous fournissez les Services aux termes du prĂ©sent Contrat et la mĂ©thode que vous employez pour obtenir les rĂ©sultats souhaitĂ©s, pourvu que ce soit lĂ©gitime et sĂ©curitaire. Instacart n’a pas le droit de vous contrĂŽler, de vous encadrer ou de vous superviser dans la prestation des Services aux termes du prĂ©sent Contrat. Instacart n’a pas non plus le droit de contrĂŽler, d’encadrer ou de superviser le Personnel que vous engagez pour qu’il vous aide Ă  fournir les Services aux termes du prĂ©sent Contrat. Vous reconnaissez qu’Instacart n’offre ni n’exige aucune formation relativement Ă  la prestation des Services aux termes du prĂ©sent Contrat.

6.3 EN TOUT TEMPS, ET DANS LA MESURE OÙ LA LOI L’EXIGE, VOUS AVEZ L’ENTIÈRE RESPONSABILITÉ DE FAIRE CE QUI SUIT :

A. SOUSCRIRE ET PAYER UNE ASSURANCE CONTRE LES ACCIDENTS DU TRAVAIL;

B. SOUSCRIRE ET PAYER UNE ASSURANCE INVALIDITÉ, UNE ASSURANCE-MALADIE ET/OU TOUTE AUTRE ASSURANCE SEMBLABLE;

C. SOUSCRIRE À L’ASSURANCE-EMPLOI OU À UNE ASSURANCE SEMBLABLE ET PAYER LES COTISATIONS À CET ÉGARD, Y COMPRIS LES COTISATIONS AU RÉGIME DE PENSIONS DU CANADA;

D. SOUSCRIRE ET PAYER TOUTE ASSURANCE RESPONSABILITÉ CIVILE NÉCESSAIRE POUR VOUS ET VOTRE PERSONNEL;

E. SOUSCRIRE ET PAYER UNE ASSURANCE AUTOMOBILE PRÉVOYANT DES MONTANTS DE GARANTIE CONFORMES AUX EXIGENCES JURIDIQUES, Y COMPRIS TOUTE ASSURANCE AUTOMOBILE ENTREPRISE SANS ÉGARD À LA RESPONSABILITÉ OU ASSURANCE RESPONSABILITÉ CIVILE;

F. PAYER ET REMETTRE L’ENSEMBLE DES TAXES, DES IMPÔTS ET DES MONTANTS CONNEXES, Y COMPRIS LA TPS/TVH, L’IMPÔT SUR LE REVENU, LES DÉDUCTIONS À LA SOURCE, LES RETENUES D’IMPÔT DES NON-RÉSIDENTS ET LES COTISATIONS POUR VOTRE PROPRE COMPTE ET POUR CELUI DE VOTRE PERSONNEL, QUI SONT PRÉLEVÉS ET/OU EXIGÉS PAR TOUTE AUTORITÉ GOUVERNEMENTALE FÉDÉRALE, PROVINCIALE, ÉTATIQUE, LOCALE OU AUTRE.

VOUS COMPRENEZ QU’INSTACART NE FOURNIT AUCUNE DES ASSURANCES SUSMENTIONNÉES, QUE VOUS DEVEZ VÉRIFIER SI VOTRE ASSURANCE AUTOMOBILE COUVRE LA PRESTATION DE VOS SERVICES, QUE CES SERVICES NE SONT PAS COUVERTS PAR TOUTES LES POLICES D’ASSURANCE ET QUE VOUS N’AVEZ PAS LE DROIT DE RECEVOIR CES GARANTIES D’ASSURANCE D’INSTACART. VOUS COMPRENEZ ÉGALEMENT QUE DES ÉLÉMENTS ÉNUMÉRÉS DANS LE PRÉSENT ARTICLE (PAR EXEMPLE, L’ASSURANCE AUTOMOBILE ENTREPRISE) PEUVENT ÊTRE EXIGÉS DANS VOTRE TERRITOIRE ET VOUS CONVENEZ QU’IL VOUS INCOMBE DE DÉTERMINER SI CES ÉLÉMENTS SONT EXIGÉS. VOUS VOUS ENGAGEZ À RESPECTER L’ENSEMBLE DES LOIS ET DES RÈGLEMENTS APPLICABLES EN CE QUI CONCERNE LE PRÉSENT ARTICLE.

Instacart n’assume aucune responsabilitĂ© Ă  l’égard des pĂ©nalitĂ©s, des prĂ©lĂšvements, des amendes et/ou des frais qui peuvent ĂȘtre imposĂ©s si vous ne payez pas ces taxes, impĂŽts et/ou autres cotisations. Vous vous engagez Ă©galement Ă  indemniser Instacart et les membres de son groupe ainsi que leurs dirigeants, administrateurs, actionnaires, employĂ©s, mandataires, successeurs et ayants droit ou ayants cause autorisĂ©s respectifs, Ă  les dĂ©gager de toute responsabilitĂ© et Ă  assurer leur dĂ©fense Ă  l’égard de l’ensemble des jugements, des prĂ©lĂšvements, des amendes, des coĂ»ts, des pĂ©nalitĂ©s, des cotisations ou des frais associĂ©s Ă  de tels paiements requis, ou Ă  l’égard de toute demande ou rĂ©clamation se rapportant de quelque maniĂšre que ce soit Ă  l’omission de dĂ©clarer, de percevoir, de remettre et/ou de payer en temps opportun ces taxes, impĂŽts et montants connexes.

6.4 Vous n’ĂȘtes pas autorisĂ© Ă  faire des promesses, Ă  conclure des ententes ou par ailleurs Ă  prendre des engagements au nom d’Instacart.

6.5 Aucune disposition des prĂ©sentes ne vous empĂȘchera de fournir des services Ă  une autre entreprise, y compris Ă  une entreprise qui fait directement concurrence Ă  Instacart. Vous pouvez reprĂ©senter des personnes ou des sociĂ©tĂ©s tierces ou fournir des services pour celles-ci ou ĂȘtre Ă  leur emploi si vous le jugez opportun, pourvu que ces services ne nuisent pas Ă  la prestation des Services aux termes du prĂ©sent Contrat. Le fait de s’inscrire sur la Plateforme Instacart dans le but fournir des renseignements au sujet de la Plateforme Instacart ou des activitĂ©s d’Instacart Ă  des concurrents d’Instacart ou dans le but de donner de quelque façon que ce soit Ă  des concurrents d’Instacart un avantage concurrentiel par rapport Ă  Instacart constitue Ă©galement une violation flagrante des modalitĂ©s du prĂ©sent Contrat.

6.6 Instacart ne garantit pas la disponibilitĂ© de la Plateforme Instacart. Vous comprenez que la Plateforme Instacart peut ĂȘtre indisponible Ă  tout moment et pour quelque raison que ce soit. La Plateforme Instacart peut connaĂźtre des retards, et Instacart n’assume aucune responsabilitĂ© Ă  l’égard des retards, des dommages, des dommages-intĂ©rĂȘts ou des pertes rĂ©sultant de tels retards.

7. DÉCLARATIONS ET INDEMNITÉS DE L’ENTREPRENEUR

7.1 Vous déclarez et garantissez ce qui suit :

A. Vous avez les pleins pouvoirs et l’autoritĂ© nĂ©cessaires pour conclure le prĂ©sent Contrat et pour exĂ©cuter vos obligations aux termes des prĂ©sentes;

B. Vous respecterez et veillerez Ă  ce que votre Personnel respecte toutes les lois applicables dans le cadre de votre exĂ©cution du prĂ©sent Contrat, notamment toutes les lois anticorruption, les lois sur le recyclage de l’argent et les lois en matiĂšre de contrĂŽle des exportations et de sanctions commerciales applicables;

C. Vous et votre Personnel avez et conserverez en tout temps les titres de compétence, les licences, les permis, les immatriculations, les inscriptions, les assurances et les autres autorisations gouvernementales nécessaires à la prestation des Services;

D. Vous et votre Personnel possĂ©dez les aptitudes appropriĂ©es pour fournir les Services de façon compĂ©tente, sĂ©curitaire et professionnelle, conformĂ©ment aux normes de l’industrie et aux lois applicables; dans l’éventualitĂ© oĂč vous ou votre Personnel choisissez de fournir des Services dans la province de QuĂ©bec, vous et votre Personnel respecterez les lois applicables au QuĂ©bec concernant la prestation de services en français, dans la mesure oĂč elles s’appliquent aux Services, et vous et votre Personnel possĂ©derez les capacitĂ©s langagiĂšres nĂ©cessaires pour communiquer de façon compĂ©tente en français;

E. Vous et votre Personnel ĂȘtes et serez en tout temps rĂ©sidents du Canada pour l’application de la Loi de l’impĂŽt sur le revenu (Canada);

F. Ni vous ni votre Personnel (i) n’ĂȘtes inscrits sur l’une des listes de personnes visĂ©es par des restrictions maintenues (A) par le gouvernement du Canada, y compris celles maintenues en vertu de la Loi sur les mesures Ă©conomiques spĂ©ciales, de la Loi sur les Nations Unies, du Code criminel , de la Loi sur le blocage des biens de dirigeants Ă©trangers corrompus ou de la Loi sur la justice pour les victimes de dirigeants Ă©trangers corrompus (loi de SergueĂŻ Magnitski) , ou (B) par le gouvernement des États-Unis, y compris la Specially Designated Nationals and Blocked Persons List , la Foreign Sanctions Evaders List et la Sectoral Sanctions Identifications List du dĂ©partement du TrĂ©sor amĂ©ricain ainsi que la Denied Persons List , la Unverified List et la Entity List du dĂ©partement du Commerce amĂ©ricain (les « Listes de personnes visĂ©es par des restrictions »), ou (ii) n’ĂȘtes dĂ©tenus en propriĂ©tĂ©, contrĂŽlĂ©s ou employĂ©s, directement ou indirectement, par une ou plusieurs personnes inscrites sur l’une des Listes de personnes visĂ©es par des restrictions.

7.2 Vous vous engagez par les prĂ©sentes Ă  indemniser Instacart et ses dirigeants, administrateurs, actionnaires, employĂ©s et mandataires ainsi que leurs successeurs, ayants droit ou ayants cause, Ă  les dĂ©gager de toute responsabilitĂ© et Ă  assurer leur dĂ©fense Ă  l’égard de l’ensemble des rĂ©clamations, demandes, pertes, coĂ»ts, frais, obligations, responsabilitĂ©s, dommages, dommages-intĂ©rĂȘts, recouvrements et insuffisances, y compris les intĂ©rĂȘts, les pĂ©nalitĂ©s et les honoraires et frais juridiques raisonnables, que l’une des personnes susmentionnĂ©es ou toute autre personne pourrait contracter, engager ou subir ou qui pourraient lui ĂȘtre imputĂ©s et qui rĂ©sultent de ce qui suit ou se rapportent Ă  ce qui suit : a) la prestation des Services, y compris par vous ou par votre Personnel; b) la violation ou l’inexĂ©cution par vous ou par votre Personnel de l’une des dĂ©clarations, des garanties ou des conventions prĂ©vues dans le prĂ©sent Contrat ou intĂ©grĂ©es par renvoi dans celui-ci; c) la violation par vous ou par votre Personnel d’une loi ou des droits d’un tiers, y compris un client, un dĂ©taillant partenaire ou un particulier associĂ© Ă  un dĂ©taillant partenaire, en raison de votre interaction ou de celle de votre Personnel avec ce tiers; d) une allĂ©gation selon laquelle des documents que vous ou votre Personnel utilisez dans la prestation des Services porte atteinte ou contrevient par ailleurs Ă  un droit d’auteur, Ă  une marque de commerce, Ă  un secret commercial ou Ă  d’autres droits d’un tiers; e) la propriĂ©tĂ©, l’utilisation ou la conduite par vous ou par votre Personnel d’un vĂ©hicule automobile ou d’un vĂ©hicule de transport de passagers, notamment pendant que vous ou votre Personnel fournissez des Services; et/ou f) les autres activitĂ©s liĂ©es aux Services ou les actes de votre Personnel. La prĂ©sente indemnitĂ© s’applique sans Ă©gard Ă  la nĂ©gligence d’une partie, y compris d’une personne indemnisĂ©e. Vous convenez qu’Instacart n’assume aucune responsabilitĂ© Ă  l’égard des pertes ou dommages ou de la dĂ©prĂ©ciation pouvant toucher votre Ă©quipement ou celui de votre Personnel, notamment votre vĂ©hicule ou celui de votre Personnel.

7.3 EN TOUT TEMPS, VOUS AVEZ LA RESPONSABILITÉ :

A. D’AVOIR UN PERMIS DE CONDUIRE VALIDE ET D’ÊTRE MÉDICALEMENT APTE À CONDUIRE UN VÉHICULE AUTOMOBILE;

B. DE MAINTENIR EN VIGUEUR LES AUTRES LICENCES, IMMATRICULATIONS, INSCRIPTIONS, ASSURANCES ET PERMIS HABITUELS OU NÉCESSAIRES AUX FINS DE LA PRESTATION DES SERVICES;

C. D’ÊTRE PROPRIÉTAIRE DU VÉHICULE QUE VOUS OU VOTRE PERSONNEL UTILISEZ LORSQUE VOUS FOURNISSEZ LES SERVICES OU D’AVOIR LE DROIT LÉGAL DE L’UTILISER;

D. DE CONDUIRE DE FAÇON SÉCURITAIRE ET D’ÉVITER LES COMPORTEMENTS DANGEREUX, NOTAMMENT LA CONDUITE SOUS L’INFLUENCE DE L’ALCOOL OU DE DROGUES.

Vous vous engagez Ă  nous fournir, sur demande, une preuve d’assurance, un permis valide, un certificat d’immatriculation de vĂ©hicule valide, votre casier judiciaire ou votre dossier de conduite, dans la mesure oĂč Instacart est autorisĂ©e par la loi Ă  demander ces renseignements.

7.4 Vous avez l’entiĂšre responsabilitĂ© de vous procurer l’équipement, les fournitures, les outils et/ou les instruments nĂ©cessaires Ă  la prestation des Services et Ă  l’exĂ©cution de vos obligations aux termes du prĂ©sent Contrat. Vous convenez que lorsque vous fournirez des Services au moyen de la Plateforme Instacart, vous utiliserez la version la plus rĂ©cente de l’Application. Vous convenez qu’en tĂ©lĂ©chargeant et en utilisant l’Application, vous ĂȘtes liĂ© par les modifications et les ajouts de renseignements futurs dont il est fait mention dans l’Application et par les modalitĂ©s et conditions de l’Application d’Instacart (Shopper Application Terms and Conditions, au https://www.instacart.com/shoppers-terms), et que votre capacitĂ© Ă  continuer d’utiliser l’Application est conditionnelle Ă  votre acceptation de ces modifications.

7.5 Vous vous engagez Ă  fournir les Services de façon compĂ©tente, sĂ©curitaire et professionnelle, conformĂ©ment aux normes de l’industrie, en gardant Ă  l’esprit que les Services sont propres au client, dans le but de maximiser la satisfaction du client et de produire les rĂ©sultats annoncĂ©s au client. Vous comprenez que les Services que vous fournissez au client crĂ©ent une relation d’affaires directe entre vous et le client. Vous convenez Ă©galement que l’annulation rĂ©pĂ©tĂ©e de vos engagements de prestation des Services constitue une utilisation abusive de la Plateforme Instacart et une violation importante du prĂ©sent Contrat qui peut entraĂźner la rĂ©siliation de celui-ci. Vous vous engagez Ă  respecter les lois et rĂšglements applicables Ă  la prestation des Services. Vous reconnaissez et convenez par ailleurs que la satisfaction du client Ă  l’égard des Services qui lui sont fournis est Ă©valuĂ©e et que des plaintes ou des commentaires rĂ©pĂ©tĂ©s de clients constituent un motif de rĂ©siliation du Contrat aux termes de l’article 5 ci-dessus.

7.6 Vous convenez que l’utilisation des renseignements sur les clients (notamment leur identitĂ©, leur adresse et leurs coordonnĂ©es) est rĂ©gie par la politique de protection des renseignements personnels des clients d’Intacart (Privacy Policy, au https://www.instacart.com/privacy). Vous reconnaissez que vous avez eu la possibilitĂ© d’examiner cette politique au moyen du lien fourni. Vous vous engagez Ă  ne pas utiliser les renseignements sur les clients d’une maniĂšre non conforme Ă  la politique de protection des renseignements personnels et convenez que le non-respect d’une disposition de celle-ci constitue une violation importante du prĂ©sent Contrat. Plus particuliĂšrement, vous vous engagez Ă  ne pas utiliser l’Application pour communiquer avec un client, sauf dans la mesure nĂ©cessaire pour effectuer des achats pour le client et/ou livrer la commande du client, choisir des articles pour le client chez un dĂ©taillant, livrer ces articles et/ou fournir des mises Ă  jour sur l’état de la commande du client. De plus, bien que vous soyez libre de fournir des Services par l’intermĂ©diaire d’autres plateformes, nous ne pouvez pas solliciter des clients avec lesquels vous ĂȘtes entrĂ© en contact ou sur lesquels vous avez obtenu des renseignements par l’intermĂ©diaire de la Plateforme Instacart pour leur fournir vos propres services de livraison ou de courses d’épicerie, ni communiquer des renseignements sur les clients Ă  d’autres personnes ou entitĂ©s. En outre, vous reconnaissez et convenez que les renseignements sur les clients constituent des Renseignements confidentiels rĂ©gis par l’article 8 du prĂ©sent Contrat.

7.7 Vous acceptez de recevoir des communications d’Instacart par l’Application, par SMS, par texto, par courriel et/ou par tĂ©lĂ©phone, et vous convenez que ces communications ne violent pas les lois applicables. Vous consentez Ă  ce qu’Instacart vous tĂ©lĂ©phone ou vous envoie des textos n’importe quel jour de la semaine (y compris les weekends et les jours fĂ©riĂ©s) et Ă  n’importe quelle heure aux numĂ©ros de tĂ©lĂ©phone que vous avez fournis directement ou indirectement Ă  Instacart, et Ă  ce qu’Instacart utilise un composeur automatique ou une voix prĂ©enregistrĂ©e ou artificielle pour vous envoyer un message, dans le cadre de votre utilisation de la Plateforme Instacart ou Ă  toute autre fin. De plus, vous consentez Ă  ce qu’Instacart vous tĂ©lĂ©phone ou vous envoie des textos par l’intermĂ©diaire de l’Application sur le tĂ©lĂ©phone sans fil que vous avez choisi d’utiliser pour tĂ©lĂ©charger et hĂ©berger l’Application, et Ă  ce qu’Instacart utilise un composeur automatique ou une voix prĂ©enregistrĂ©e ou artificielle pour vous envoyer un message Ă  quelque fin que ce soit. Le prĂ©sent consentement fait partie de l’échange nĂ©gociĂ© dans le cadre du prĂ©sent Contrat et ne peut ĂȘtre rĂ©voquĂ© tant que le prĂ©sent Contrat est en vigueur (vous pouvez toutefois rĂ©voquer votre consentement Ă  recevoir des communications Ă  des fins de commercialisation conformĂ©ment aux lois applicables). Vous convenez que les appels tĂ©lĂ©phoniques entre vous et Instacart ou ses mandataires ou partenaires peuvent ĂȘtre enregistrĂ©s et vous consentez par les prĂ©sentes Ă  cet enregistrement. Vous vous engagez Ă  ne pas utiliser les coordonnĂ©es des clients d’Instacart Ă  d’autres fins que la prestation des Services. Vous vous engagez Ă©galement Ă  respecter les lois applicables dans vos communications avec les clients d’Instacart.

7.8 Vous convenez que si vous acceptez une PossibilitĂ© de livraison qui comprend l’achat d’alcool, vous avez l’entiĂšre responsabilitĂ© de veiller Ă  ce que toutes les lois et directives fĂ©dĂ©rales, provinciales et locales soient respectĂ©es, y compris de vous assurer que la personne qui accepte la commande ait une piĂšce d’identitĂ© valide, ait au moins l’ñge minimum lĂ©gal pour boire et ne soit pas visiblement intoxiquĂ©e.

7.9 Vous convenez que si vous acceptez une PossibilitĂ© de livraison qui comprend un article devant ĂȘtre conservĂ© au chaud ou au froid, vous veillerez Ă  ce que toutes les lois et directives fĂ©dĂ©rales, provinciales et locales soient respectĂ©es et livrerez l’article d’une maniĂšre qui protĂšge la santĂ© et la sĂ©curitĂ© du client. Vous convenez Ă©galement que vous acquerrez lĂ©galement tout le matĂ©riel nĂ©cessaire Ă  la prestation des services, y compris des sacs Ă  isolation thermique.

8. NON-DIVULGATION DES RENSEIGNEMENTS CONFIDENTIELS

8.1 Dans le cadre de votre relation avec Instacart, vous pourriez avoir accĂšs Ă  des renseignements confidentiels, exclusifs et/ou portant sur des secrets commerciaux d’Instacart et/ou de ses clients et/ou devenir au fait de tels renseignements (collectivement, les « Renseignements confidentiels »), qui sont de grande valeur pour Instacart. Les Renseignements confidentiels comprennent l’ensemble des renseignements se rapportant de quelque façon que ce soit Ă  l’entreprise, notamment les aspects de sa plateforme technologique, ce qui comprend l’Application. Les Renseignements confidentiels comprennent en outre l’ensemble des renseignements se rapportant de quelque façon que ce soit Ă  l’entreprise des clients d’Instacart, le cas Ă©chĂ©ant, et des consultants, clients et partenaires commerciaux d’Instacart et des clients d’Instacart qui ne sont gĂ©nĂ©ralement pas connus du public. Les Renseignements confidentiels comprennent par ailleurs, sans s’y limiter, les pratiques ou activitĂ©s commerciales, les secrets commerciaux, les listes de clients ou de fournisseurs, les renseignements sur les clients, les listes de clients et les renseignements sur les clients (notamment l’identitĂ©, l’adresse et les coordonnĂ©es des clients), les contrats, les accords, les renseignements de nature comptable ou financiĂšre, les renseignements sur les prix, les donnĂ©es et projets commerciaux, les formules, le savoir-faire technique, les procĂ©dĂ©s, les mĂ©thodes, les techniques, les procĂ©dures, les logiciels, les bases de donnĂ©es, les stratĂ©gies et donnĂ©es de commercialisation, les projets et propositions en cours, les programmes, les Ă©bauches, les dessins, les diagrammes, les donnĂ©es d’essai, les donnĂ©es de recherche et les autres renseignements de nature confidentielle, peu importe qu’ils soient fournis avant ou aprĂšs la date de signature du prĂ©sent Contrat, verbalement ou par Ă©crit, et peu importe le mode communication ou la maniĂšre dont ils sont fournis, ainsi que l’ensemble des analyses, des compilations, des donnĂ©es, des Ă©tudes, des notes, des interprĂ©tations, des exposĂ©s, des extraits ou des autres documents prĂ©parĂ©s par Instacart contenant en totalitĂ© ou en partie les renseignements fournis ou fondĂ©s en totalitĂ© ou en partie sur ceux-ci. Vous convenez expressĂ©ment que tous les Renseignements confidentiels doivent ĂȘtre traitĂ©s de maniĂšre confidentielle peu importe qu’un Ă©lĂ©ment d’information ou un document donnĂ© porte ou non la mention « Confidentiel », « Secret » ou « Secret commercial » ou une mention similaire. Les Renseignements confidentiels ne comprennent toutefois pas les renseignements pour lesquels vous pouvez dĂ©montrer au moyen d’une preuve documentaire : (i) qu’ils sont ou sont devenus gĂ©nĂ©ralement accessibles au public sans que vous ayez commis un acte rĂ©prĂ©hensible; ou (ii) que vous les avez acquis ou dĂ©veloppĂ©s de maniĂšre indĂ©pendante sans enfreindre aucune de vos obligations aux termes d’un accord avec Instacart, d’un accord avec un tiers ou des lois applicables.

8.2 Vous : (i) dĂ©tiendrez et conserverez tous les Renseignements confidentiels dans la plus stricte confidentialitĂ©; (ii) vous engagez Ă  ne pas copier, reproduire ou crĂ©er d’Ɠuvres dĂ©rivĂ©es se rapportant de quelque façon que ce soit Ă  la plateforme technologique d’Instacart, y compris son Application; (iii) sauf dans la mesure raisonnablement nĂ©cessaire Ă  l’exĂ©cution des Services ou autorisĂ©e par Ă©crit par Instacart, ne devrez en aucun temps, pendant ou aprĂšs la durĂ©e du prĂ©sent Contrat, de quelque façon, forme ou maniĂšre que ce soit, directement ou indirectement, utiliser, dĂ©voiler, divulguer ou communiquer de Renseignements confidentiels Ă  toute personne, entreprise, sociĂ©tĂ© ou entitĂ© de quelque maniĂšre que ce soit; et (iv) devez exiger et faire en sorte que vos administrateurs, dirigeants, employĂ©s, mandataires et sous-traitants autorisĂ©s qui peuvent recevoir des Renseignements confidentiels les conservent dans la plus stricte confidentialitĂ© et ne les utilisent ou ne les divulguent pas, sauf dans la mesure permise par le prĂ©sent contrat. De plus, vous convenez expressĂ©ment de vous abstenir de communiquer Ă  toute personne ou entitĂ© tous les Renseignements confidentiels appris, transmis ou obtenus par vous par ailleurs, notamment les Renseignements confidentiels au sujet d’Instacart et de ses activitĂ©s. Vous reconnaissez que d’autres exigences de conformitĂ© relatives aux clients peuvent s’appliquer et vous ĂȘtre opposables. Sauf dans le but de fournir les Services, vous ne devez jamais transmettre votre nom d’utilisateur ou votre mot de passe pour l’Application Ă  un tiers.

8.3 Vous convenez que l’ensemble des dessins, des exposĂ©s, des factures, des journaux, des cahiers de projet, des carnets, des esquisses, des rapports, des manuels, des programmes informatiques, des fichiers informatiques, des saisies d’écran et des autres Ă©lĂ©ments ayant une incidence sur les Renseignements confidentiels d’Instacart, les consignant ou s’y rapportant, de quelque maniĂšre ou sur tout support que ce soit, sont et demeurent en tout temps l’unique propriĂ©tĂ© d’Instacart et ne doivent en aucun cas ĂȘtre retirĂ©s des locaux d’Instacart sans le consentement Ă©crit prĂ©alable d’Instacart, sauf lorsque cela est nĂ©cessaire (et seulement pour la pĂ©riode nĂ©cessaire) Ă  la prestation des Services aux termes des prĂ©sentes, et s’ils sont retirĂ©s, ils doivent ĂȘtre retournĂ©s immĂ©diatement Ă  Instacart Ă  la rĂ©siliation du prĂ©sent Contrat, sans que vous en conserviez de copie. À la demande d’Instacart, vous fournirez une dĂ©claration vĂ©ridique Ă  Instacart attestant que tous les Renseignements confidentiels et toutes leurs copies ont Ă©tĂ© remis Ă  Instacart et supprimĂ©s de vos ordinateurs, ordinateurs portables, tĂ©lĂ©phones ou autres appareils Ă©lectroniques ou d’enregistrement.

8.4 Si vous ĂȘtes tenu par les lois ou les rĂšglements applicables ou par un processus judiciaire de communiquer des Renseignements confidentiels, vous devrez en aviser immĂ©diatement Instacart par Ă©crit avant de faire une telle communication et aider Instacart Ă  obtenir une ordonnance prĂ©ventive ou Ă  exercer un autre recours appropriĂ©. Vous convenez en outre que si Instacart ne rĂ©ussit pas Ă  empĂȘcher l’organisme judiciaire demandeur d’examiner les Renseignements confidentiels, vous ne fournirez que la partie des Renseignements confidentiels qui doit ĂȘtre lĂ©galement communiquĂ©e et vous vous efforcerez d’obtenir l’assurance fiable que les Renseignements confidentiels seront traitĂ©s de façon confidentielle.

8.5 Les restrictions auxquelles vous soumet le prĂ©sent article demeureront en vigueur Ă  perpĂ©tuitĂ© aprĂšs la rĂ©siliation du prĂ©sent Contrat. Vous convenez que toute violation d’une disposition prĂ©vue dans le prĂ©sent article constitue une violation importante du prĂ©sent Contrat.

8.6 Vous reconnaissez qu’Instacart protĂšge l’information de ses Entrepreneurs de la façon Ă©noncĂ©e dans la politique de protection des renseignements personnels des acheteurs et des acheteurs potentiels-Canada (Shopper and Prospective Shopper Privacy Policy-Canada, au https://www.instacart.ca/shoppers-privacy), que vous reconnaissez avoir eu l’occasion d’examiner. Vous consentez Ă  la collecte, Ă  l’utilisation et la communication de renseignements personnels Ă  votre sujet conformĂ©ment aux lois applicables.

9. CONSENTEMENT MUTUEL À L’ARBITRAGE DES DIFFÉRENDS (« DISPOSITION D’ARBITRAGE »)

9.1 Intention de recourir Ă  l’arbitrage. Vous et Instacart convenez de tenter d’abord de rĂ©gler tout diffĂ©rend ou toute rĂ©clamation Ă  l’amiable en donnant un prĂ©avis Ă©crit de 30 jours avant de soumettre un tel diffĂ©rend ou une telle rĂ©clamation. Si le diffĂ©rend ou la rĂ©clamation n’est pas rĂ©glĂ© Ă  l’amiable, et sauf comme il est prĂ©vu par ailleurs dans la prĂ©sente Disposition d’arbitrage, vous et Instacart convenez que dans toute la mesure permise par la loi, L’ENSEMBLE DES DIFFÉRENDS OU DES RÉCLAMATIONS ENTRE VOUS ET INSTACART seront rĂ©glĂ©s exclusivement par voie d’arbitrage dĂ©finitif et exĂ©cutoire par un arbitre neutre, notamment l’ensemble des diffĂ©rends ou des rĂ©clamations ENTRE VOUS ET INSTACART, en vertu notamment de la responsabilitĂ© contractuelle ou dĂ©lictuelle, concernant la formation (y compris le caractĂšre abusif et l’invaliditĂ©), l’existence, la violation, la rĂ©siliation, l’interprĂ©tation, l’application, la validitĂ©, la portĂ©e et l’applicabilitĂ© du Contrat ou des Services convenus aux prĂ©sentes ou toute rĂ©clamation pour quelque motif que ce soit en vertu d’une loi fĂ©dĂ©rale, Ă©tatique ou locale qui pourrait autrement ĂȘtre instruite par un tribunal compĂ©tent. En signant le prĂ©sent Contrat, et sauf indication contraire dans la prĂ©sente Disposition d’arbitrage, vous et Instacart renoncez par les prĂ©sentes Ă  votre droit d’obtenir le rĂšglement de tout diffĂ©rend, de toute rĂ©clamation ou de tout dĂ©saccord par un juge ou un jury devant un tribunal. Vous et Instacart prĂ©voyez qu’en adhĂ©rant Ă  la prĂ©sente Disposition d’arbitrage, vous bĂ©nĂ©ficierez d’une procĂ©dure de rĂšglement des diffĂ©rends rapide et moins coĂ»teuse. La prĂ©sente Disposition d’arbitrage englobe l’ensemble des diffĂ©rends et des rĂ©clamations qu’Instacart peut avoir avec ou prĂ©senter contre vous, ou que vous pouvez avoir avec ou prĂ©senter contre Instacart et/ou l’un de ses dirigeants, administrateurs, employĂ©s, propriĂ©taires, mandataires, reprĂ©sentants, rĂ©gimes d’avantages sociaux, commanditaires, fiduciaires, sociĂ©tĂ©s mĂšres, filiales ou entitĂ©s membres du mĂȘme groupe (chacun d’eux pouvant faire appliquer la prĂ©sente Disposition d’arbitrage en tant que tiers bĂ©nĂ©ficiaire) dĂ©coulant du prĂ©sent Contrat ou des Services que vous avez fournis ou s’y rapportant. Sous rĂ©serve des limites Ă©noncĂ©es au paragraphe 9.5, vous et Instacart convenez que les dĂ©taillants tiers chez lesquels ou dans les locaux desquels les Services aux termes du prĂ©sent Contrat peuvent ĂȘtre fournis, ainsi que toute agence de renseignements sur le consommateur responsable de fournir des services de vĂ©rification de vos antĂ©cĂ©dents, sont des tiers bĂ©nĂ©ficiaires visĂ©s par la prĂ©sente Disposition d’arbitrage. Il est entendu qu’en signant le prĂ©sent Contrat, vous et Instacart renoncez expressĂ©ment, par les prĂ©sentes, dans la mesure permise par les lois applicables, Ă  votre droit d’obtenir le rĂšglement de tout diffĂ©rend ou de toute rĂ©clamation par un tribunal, sauf comme il est mentionnĂ© expressĂ©ment dans les prĂ©sentes.

9.2 DĂ©lĂ©gation. Sauf comme la prĂ©sente Disposition d’arbitrage le prĂ©voit par ailleurs, l’arbitrabilitĂ© de tout diffĂ©rend entre vous et Instacart, notamment la question de savoir si la totalitĂ© ou une partie de la prĂ©sente Disposition d’arbitrage est invalide, abusive ou inexĂ©cutoire par ailleurs ou dans quelle mesure et celle de savoir si un diffĂ©rend, une rĂ©clamation ou un dĂ©saccord est arbitrable, est une dĂ©cision qui reviendra exclusivement Ă  l’arbitre et ne sera pas prise par un tribunal fĂ©dĂ©ral ou provincial. Vous et Instacart entendez que la prĂ©sente disposition de dĂ©lĂ©gation constitue une preuve claire et non Ă©quivoque de votre consentement et de celui d’Instacart Ă  dĂ©lĂ©guer ces questions Ă  l’arbitre, sous rĂ©serve des exceptions Ă©noncĂ©es aux paragraphes 9.3 et 9.4, qui stipulent que la prĂ©sente disposition de dĂ©lĂ©gation ne doit pas s’appliquer Ă  la renonciation aux actions collectives et aux recours collectifs et Ă  la renonciation aux procĂ©dures reprĂ©sentatives.

9.3 Renonciation aux actions collectives et aux recours collectifs. En signant le prĂ©sent Contrat, Instacart et vous convenez que chacun peut prĂ©senter et faire valoir des rĂ©clamations contre l’autre uniquement Ă  titre individuel et ne peut prĂ©senter ou faire valoir de rĂ©clamations ou agir Ă  titre de demandeur, de reprĂ©sentant ou de membre dans le cadre d’une action ou d’un recours collectif prĂ©sumĂ© autrement qu’à titre individuel, sauf dans la mesure oĂč la prĂ©sente disposition est inapplicable par l’effet de la loi. MalgrĂ© toute autre disposition de la prĂ©sente Disposition d’arbitrage ou des rĂšgles d’arbitrage applicables : (1) toute affirmation selon laquelle la totalitĂ© ou une partie de la prĂ©sente renonciation aux actions collectives et aux recours collectifs est inapplicable, abusive, nulle ou annulable peut ĂȘtre tranchĂ©e uniquement par un tribunal compĂ©tent et non par un arbitre; et (2) si la renonciation Ă©noncĂ©e dans le prĂ©sent article est jugĂ©e inapplicable, toute action collective ou recours collectif sera portĂ©e devant un tribunal compĂ©tent et ne peut ĂȘtre soumise Ă  un arbitrage collectif.

9.4 Renonciation aux procĂ©dures reprĂ©sentatives. En signant le prĂ©sent Contrat, vous et Instacart convenez que, dans la mesure permise par les lois applicables, l’ensemble des procĂ©dures relatives au rĂšglement des diffĂ©rends seront instituĂ©es uniquement Ă  titre individuel et non dans le cadre d’une procĂ©dure collective ou rĂ©unie ou dans le cadre d’une jonction des procĂ©dures. MalgrĂ© toute autre disposition du prĂ©sent Contrat ou des rĂšgles d’arbitrage applicables : (1) toute affirmation selon laquelle la totalitĂ© ou une partie de la prĂ©sente renonciation aux procĂ©dures reprĂ©sentatives est inapplicable, abusive, nulle ou annulable peut ĂȘtre tranchĂ©e uniquement par un tribunal compĂ©tent et non par un arbitre; et (2) si la renonciation Ă©noncĂ©e dans le prĂ©sent article est jugĂ©e inapplicable, dans la mesure permise par les lois applicables, les Parties conviennent en outre par les prĂ©sentes qu’une telle procĂ©dure judiciaire sera Ă©galement instituĂ©e uniquement Ă  titre individuel et non dans le cadre d’une procĂ©dure collective, reprĂ©sentative ou rĂ©unie ou d’une jonction des procĂ©dures.

9.5 RĂ©clamations non visĂ©es. La prĂ©sente Disposition d’arbitrage ne s’applique pas aux litiges entre vous (en tant que partie ou membre d’une action collective ou d’un recours collectif) et Instacart en instance devant un tribunal provincial ou fĂ©dĂ©ral ou en arbitrage Ă  la date de rĂ©ception du prĂ©sent Contrat. Les rĂ©clamations qui ne sont pas visĂ©es par le prĂ©sent Contrat sont celles qui, en raison des lois applicables, ne peuvent ĂȘtre soumises Ă  l’arbitrage. Aucune disposition du prĂ©sent Contrat ne vous empĂȘche d’exercer les droits protĂ©gĂ©s en vertu des lois sur l’emploi ou les normes du travail applicables. Aucune disposition du prĂ©sent Contrat n’empĂȘche un organisme gouvernemental d’enquĂȘter sur tout rapport, toute rĂ©clamation ou toute accusation autrement visĂ© par la prĂ©sente Disposition d’arbitrage. Les diffĂ©rends ou les rĂ©clamations entre Instacart et les bĂ©nĂ©ficiaires tiers ne sont pas visĂ©s par la prĂ©sente Disposition d’Arbitrage.

9.6 ProcĂ©dures et lieu d’arbitrage. En signant le prĂ©sent Contrat, les Parties conviennent en outre que tout arbitrage doit ĂȘtre menĂ© et rĂ©glĂ© devant un seul arbitre choisi conformĂ©ment aux rĂšgles simplifiĂ©es de l’Institut d’arbitrage et de mĂ©diation du Canada Inc. Les Parties conviennent que l’arbitrage doit se dĂ©rouler aux termes des rĂšgles simplifiĂ©es de l’Institut d’arbitrage et de mĂ©diation du Canada Inc.; elles tenteront d’abord de choisir l’arbitre parmi une liste d’arbitres fournie par l’Institut d’arbitrage et de mĂ©diation du Canada Inc., et si cela ne donne pas de rĂ©sultats, l’Institut d’arbitrage et de mĂ©diation du Canada Inc. suivra alors les rĂšgles simplifiĂ©es pour la sĂ©lection de l’arbitre. L’arbitrage aura lieu : (i) dans la province oĂč l’Entrepreneur fournit les Services et dans la ville la plus proche gĂ©ographiquement de l’endroit oĂč rĂ©side l’Entrepreneur dans la province et qui compte plus de 100 000 habitants. En l’absence d’une telle ville dans la province, l’arbitrage aura lieu (ii) Ă  l’endroit dont les Parties peuvent convenir d’un commun accord ou (iii) en l’absence d’un tel accord, dans la capitale provinciale. La langue de l’arbitrage sera l’anglais, sauf au QuĂ©bec, oĂč elle sera l’anglais et/ou le français, selon ce que les parties peuvent convenir d’un commun accord.

9.7 Frais d’arbitrage, honoraires d’avocat et coĂ»ts. L’arbitre a le pouvoir d’adjuger et de rĂ©partir les frais d’arbitrage (y compris les honoraires et les dĂ©penses de l’arbitre) conformĂ©ment aux rĂšgles simplifiĂ©es de l’Institut d’arbitrage et de mĂ©diation du Canada Inc. Vous et Instacart devez suivre les rĂšgles simplifiĂ©es de l’Institut d’arbitrage et de mĂ©diation du Canada Inc. applicables aux frais de dĂ©pĂŽt initiaux, mais vous ne serez responsable en aucun cas de toute partie de ces frais dĂ©passant les frais de dĂ©pĂŽt ou de comparution initiaux applicables aux actions en justice dans le territoire oĂč l’arbitrage aura lieu. AprĂšs que vous aurez payĂ© votre part des frais de dĂ©pĂŽt initiaux, Instacart devra payer la tranche restante des frais initiaux et acquittera Ă©galement l’ensemble des coĂ»ts et des frais propres Ă  l’arbitrage, notamment les honoraires de l’arbitre et les frais d’administration liĂ©s Ă  l’arbitrage de l’Institut d’arbitrage et de mĂ©diation du Canada Inc. Le rĂšglement de tous les frais de dĂ©pĂŽt, d’administration et d’arbitrage (collectivement, les « frais d’arbitrage ») sera rĂ©gi par les rĂšgles simplifiĂ©es de l’Institut d’arbitrage et de mĂ©diation du Canada Inc. et les lois du territoire oĂč vous avez fourni les Services. Dans tous les cas oĂč la loi l’exige, Instacart acquittera le plein montant des frais d’arbitrage. Tout diffĂ©rend Ă  cet Ă©gard sera rĂ©glĂ© par l’arbitre dĂšs que possible aprĂšs que celui-ci aura Ă©tĂ© choisi, et Instacart assume tous les frais d’arbitrage jusqu’à ce que l’arbitre ait rĂ©glĂ© ce diffĂ©rend. Vous pouvez ĂȘtre reprĂ©sentĂ© par un avocat au cours d’une procĂ©dure d’arbitrage. Chaque partie rĂšgle ses propres frais et honoraires d’avocat, sous rĂ©serve de la capacitĂ© de l’arbitre, dĂ©crite au paragraphe 9.8, d’adjuger les frais et honoraires d’avocat dans la mesure oĂč un tel recours aurait Ă©tĂ© Ă  la disposition des Parties si l’affaire avait Ă©tĂ© instruite par un tribunal.

9.8 Sentences. L’arbitre est autorisĂ© Ă  n’accorder que les recours ou les mesures de redressement prĂ©vus par les lois applicables, y compris tout recours ou toute mesure de redressement qui aurait Ă©tĂ© Ă  la disposition des Parties si l’affaire avait Ă©tĂ© instruite par un tribunal; toutefois, le prĂ©sent article n’englobe pas, ne permet pas ni n’autorise les recours ou les mesures de redressement accordĂ©s dans le cadre d’une procĂ©dure collective ou reprĂ©sentative. La dĂ©cision de l’arbitre est rendue par Ă©crit et contient les conclusions de fait et de droit Ă  l’appui de la sentence, Ă  moins que vous et Instacart n’en conveniez autrement. Vous ou Instacart pouvez demander Ă  un tribunal compĂ©tent une injonction provisoire ou prĂ©liminaire relativement Ă  un dĂ©saccord arbitrable conformĂ©ment aux lois applicables, et une telle demande ne sera pas jugĂ©e incompatible avec la prĂ©sente entente d’arbitrage ou une renonciation Ă  celle-ci. Le tribunal auquel la demande est prĂ©sentĂ©e est autorisĂ© Ă  examiner le bien-fondĂ© du dĂ©saccord arbitrable dans la mesure qu’il juge nĂ©cessaire pour rendre sa dĂ©cision, mais seulement dans la mesure permise par les lois applicables. Toutefois, toutes les dĂ©cisions relatives Ă  la mesure de redressement dĂ©finitive seront prises en arbitrage.

9.9 a) Exclusion de la Disposition d’arbitrage. Vous avez 30 jours civils Ă  compter de la date Ă  laquelle vous signez le prĂ©sent Contrat pour vous retirer la Disposition d’arbitrage. Toutefois, le fait de vous retirer de la prĂ©sente Disposition d’arbitrage n’a aucune incidence sur les autres parties du prĂ©sent Contrat. Si vous vous retirez de la Disposition d’arbitrage, ni vous ni Instacart ne serez alors liĂ© par les modalitĂ©s de la prĂ©sente Disposition d’arbitrage. Si vous ne vous retirez pas de la Disposition d’arbitrage conformĂ©ment au prĂ©sent article dans la pĂ©riode de 30 jours, cette Disposition d’arbitrage deviendra alors pleinement en vigueur et exĂ©cutoire Ă  la date Ă  laquelle vous signez le prĂ©sent Contrat. Si vous aviez convenu d’une entente d’arbitrage antĂ©rieure avec Instacart et que vous vous retirez de la prĂ©sente Disposition d’arbitrage, vous demeurez liĂ© par cette entente d’arbitrage antĂ©rieure et devez arbitrer l’ensemble des rĂ©clamations ou des diffĂ©rends visĂ©s par cette entente d’arbitrage antĂ©rieure, peu importe que ces rĂ©clamations ou diffĂ©rends surviennent aprĂšs la date Ă  laquelle vous signez le prĂ©sent Contrat.

b) Pour vous retirer, dans les 30 jours Ă  compter de la date Ă  laquelle vous signez le prĂ©sent Contrat, vous devez aviser Instacart par Ă©crit de votre intention de vous retirer de la Disposition d’arbitrage en fournissant vos prĂ©nom et nom ainsi qu’une dĂ©claration claire Ă©nonçant votre intention de vous retirer, par exemple « Je souhaite me retirer de la Disposition d’arbitrage » ou une formulation Ă©quivalente. La dĂ©claration Ă©crite de votre intention de vous retirer doit ĂȘtre transmise : (1) par courriel, Ă  l’adresse [email protected]; ou (2) au moyen d’une lettre, expĂ©diĂ©e par Postes Canada ou par un service de messagerie reconnu Ă  l’échelle nationale (p. ex. Federal Express, UPS), ou remise en mains propres Ă  l’adresse suivante :

c) Afin d’ĂȘtre valide, la lettre visĂ©e par l’option (2) doit ĂȘtre datĂ©e et signĂ©e, et l’enveloppe contenant la lettre signĂ©e doit ĂȘtre reçue (si elle est remise en mains propres) ou porter une date d’oblitĂ©ration se situant dans les 30 jours suivant la date Ă  laquelle vous signez le prĂ©sent Contrat. Votre dĂ©claration Ă©crite de votre intention de vous retirer de la Disposition d’arbitrage, qu’elle soit transmise selon l’option (1) ou l’option (2), sera conservĂ©e par Instacart, et vous ĂȘtes invitĂ© Ă  en conserver une copie pour vos dossiers.

10. AVIS

Sauf comme il est expressĂ©ment prĂ©vu au paragraphe 9.9, les avis Ă  l’intention d’Instacart doivent ĂȘtre donnĂ©s par courrier certifiĂ©, port payĂ©, avec demande d’accusĂ© de rĂ©ception Ă  l’adresse suivante :

L’avis est rĂ©putĂ© avoir Ă©tĂ© donnĂ© cinq jours aprĂšs la date de mise Ă  la poste. Les avis Ă  votre intention sont fournis au moyen de l’Application ou Ă  l’adresse courriel que vous avez fournie Ă  Instacart et sont rĂ©putĂ©s avoir Ă©tĂ© donnĂ©s dĂšs le moment de leur envoi. Instacart pourrait Ă©galement choisir de vous transmettre des avis par courrier certifiĂ© Ă  l'adresse que vous lui avez fournie. Dans un tel cas, l'avis est rĂ©putĂ© avoir Ă©tĂ© donnĂ© cinq jours aprĂšs la date de mise Ă  la poste.

11. SUCCESSEURS ET AYANTS DROIT OU AYANTS CAUSE

Le prĂ©sent Contrat a pour but de lier Instacart et vous ainsi que nos hĂ©ritiers, successeurs et ayants droit ou ayants cause respectifs, de s’appliquer Ă  leur profit et d’ĂȘtre opposable par eux; toutefois, vous ne pouvez cĂ©der vos droits ou dĂ©lĂ©guer vos devoirs ou obligations aux termes des prĂ©sentes (notamment aux termes d’un sous-contrat) sans le consentement Ă©crit prĂ©alable d’Instacart. Cette disposition ne devrait pas ĂȘtre interprĂ©tĂ©e comme vous empĂȘchant d’embaucher des personnes pour vous aider Ă  fournir les Services.

12. DIVISIBILITÉ

Sauf comme il est expressĂ©ment Ă©noncĂ© aux paragraphes 9.3 et 9.4, si une disposition du prĂ©sent Contrat est jugĂ©e illĂ©gale, invalide, nulle ou non exĂ©cutoire, le reste du Contrat demeurera pleinement en vigueur. Si certaines rĂ©clamations peuvent ĂȘtre arbitrĂ©es aux termes de la Disposition d’arbitrage, mais que d’autres ne peuvent l’ĂȘtre, les rĂ©clamations qui ne peuvent ĂȘtre arbitrĂ©es et qui ont Ă©tĂ© soumises Ă  un tribunal compĂ©tent doivent ĂȘtre suspendues dans l’attente de l’issue de l’arbitrage visant les rĂ©clamations arbitrables.

13. MODIFICATION ET RENONCIATION

13.1 Le Contrat ne peut ĂȘtre rĂ©voquĂ© ou modifiĂ© qu’au moyen d’un avis Ă©crit signĂ© par les deux Parties qui Ă©nonce expressĂ©ment l’intention de rĂ©voquer ou de modifier le prĂ©sent Contrat. Le prĂ©sent Contrat constitue l’entente intĂ©grale intervenue entre les Parties Ă  l’égard de l’objet du prĂ©sent Contrat et, sauf comme il est permis dans les prĂ©sentes, peut ĂȘtre modifiĂ© uniquement, Ă  quelque Ă©gard de que ce soit, au moyen d’un document Ă©crit et signĂ© par les deux Parties. Avant d’accepter les modifications, vous avez le droit de discuter des modifications proposĂ©es avec Instacart et de dĂ©terminer si vous souhaitez poursuivre votre relation contractuelle avec Instacart. À moins d’indication contraire dans le prĂ©sent Contrat, LE PRÉSENT CONTRAT REMPLACE L’ENSEMBLE DES ENTENTES ANTÉRIEURES. SI VOUS N’ACCEPTEZ PAS D’ÊTRE LIÉ PAR LES MODALITÉS ET CONDITIONS DU PRÉSENT CONTRAT, VOUS NE POUVEZ PAS UTILISER LA PLATEFORME INSTACART OU Y ACCÉDER. La renonciation par une Partie au prĂ©sent Contrat Ă  une disposition des prĂ©sentes n’est pas rĂ©putĂ©e constituer une renonciation Ă  une autre disposition du prĂ©sent Contrat ou Ă  une violation subsĂ©quente d’une telle disposition ou une renonciation Ă  une autre disposition du prĂ©sent Contrat par une autre personne.

13.2 Instacart se rĂ©serve Ă©galement le droit de modifier tout renseignement contenu dans les hyperliens compris dans le prĂ©sent Contrat Ă  l’occasion, selon son apprĂ©ciation commerciale raisonnable et de bonne foi. Les modifications entrent en vigueur au moment de leur affichage. L’utilisation continue de la Plateforme Instacart ou la prestation de Services aprĂšs l’affichage des modifications constitue votre consentement Ă  celles-ci. À moins que des modifications importantes soient apportĂ©es Ă  la Disposition d’arbitrage dans les prĂ©sentes, vous convenez que la modification du prĂ©sent Contrat et/ou des hyperliens compris dans le prĂ©sent Contrat ne crĂ©e pas une nouvelle occasion de vous retirer de l’arbitrage (le cas Ă©chĂ©ant). Comme il est Ă©noncĂ© dans le paragraphe 9.10, une nouvelle occasion de vous retirer de l’arbitrage ne vous libĂ©rera pas des ententes d’arbitrage antĂ©rieures et/ou des autres ententes d’arbitrage avec Instacart auxquelles vous pourriez ĂȘtre liĂ©.

14. CONCLUSION VOLONTAIRE

En signant le prĂ©sent Contrat, les Parties dĂ©clarent qu’elles ont eu l’occasion d’examiner, de saisir et de nĂ©gocier pleinement les modalitĂ©s du prĂ©sent Contrat. Les Parties comprennent les modalitĂ©s du prĂ©sent Contrat et signent librement et volontairement le prĂ©sent Contrat. Si vous avez des questions au sujet du prĂ©sent Contrat, vous pourriez souhaiter consulter un conseiller juridique et ĂȘtes libre de le faire.

15. LOIS APPLICABLES

Le prĂ©sent Contrat est rĂ©gi par les lois de la province d’Ontario et les lois fĂ©dĂ©rales du Canada qui s’y appliquent et est interprĂ©tĂ© conformĂ©ment Ă  celles-ci. Pour les Entrepreneurs situĂ©s dans la province de QuĂ©bec, le prĂ©sent Contrat est rĂ©gi par les lois du Canada et de la province de QuĂ©bec et les lois fĂ©dĂ©rales du Canada applicables dans cette province. Le libellĂ© de toutes les parties du prĂ©sent Contrat doit ĂȘtre interprĂ©tĂ© dans tous les cas selon sa signification juste et non strictement en faveur de l’une ou l’autre Partie ou contre celle-ci.

16. INTÉGRALITÉ DU CONTRAT

Si vous vous retirez de la Disposition d’arbitrage dans le prĂ©sent Contrat et ĂȘtes liĂ© par des ententes d’arbitrage antĂ©rieures et/ou d’autres ententes d’arbitrage avec Instacart, le prĂ©sent Contrat remplace l’ensemble des autres ententes intervenues entre vous et Instacart, verbalement ou par Ă©crit, et comprend l’ensemble des engagements et des accords intervenus entre vous et Instacart relativement Ă  vos Services. Vous et Instacart reconnaissez tous deux qu’aucune dĂ©claration, mesure incitative, promesse ou entente, Ă  l’origine ou autrement, n’a Ă©tĂ© faite ou prĂ©sentĂ©e par l’une ou l’autre Partie Ă  l’autre, ou par quiconque agissant au nom de l’une ou l’autre Partie, sans ĂȘtre comprise dans les prĂ©sentes.

17. DATE DE PRISE D’EFFET

La Date de prise d’effet du prĂ©sent Contrat est la date Ă  laquelle vous signez.

En cochant cette case et en cliquant sur le bouton ci-dessous, vous comprenez et reconnaissez que vous acceptez et signez Ă©lectroniquement le prĂ©sent Contrat, que votre nom y sera apposĂ© et constituera votre signature et que votre acceptation Ă©lectronique du prĂ©sent Contrat est voulue, valide et exĂ©cutoire. Vous comprenez et reconnaissez en outre que vous avez lu attentivement le prĂ©sent Contrat, en comprenez les modalitĂ©s, y compris la Disposition d’arbitrage, et le concluez volontairement.
